DESCRIPTION

We are seeking a highly qualified and experienced Company Secretary to join our team. The successful candidate will support the Board in corporate governance, ensure statutory compliance, provide legal and regulatory advice, and facilitate corporate exercises and audits. This role requires a candidate with a strong background in company secretarial practice, particularly with public listed companies, and extensive knowledge of relevant Malaysian laws and regulations. Job Requirements:Supporting the Board in corporate governanceOrganizing and preparing board and board committee agendas for meetings. Preparation of minutes, drafting resolutions and follow up on actions.Advising Board on corporate governance matters in accordance to the Malaysian Code on Corporate Governance.Implementing corporate governance best practices.Drafting corporate governance report and overview statement2. Statutory Compliance Ensure lodging of all statutory forms, returns and other legal documents with the Companies Commission of Malaysia, Bursa Malaysia Securities Berhad (“Bursa Malaysia”) and other relevant authoritiesRecord keeping by ensuring statutory records/registers are properly kept and updated.Drafting announcements for release to Bursa Malaysia including quarterly results and semi-annual returns.3. Advisory role on legal, regulatory and other complianceTo monitor and advise Board and Management on legal matters and compliance with the Company’s Constitution, Joint Venture/ Shareholders’ Agreement, Companies Act 2016, Securities Commission Guidelines, Bursa Malaysia Securities Berhad Listing Requirements.4. Corporate exercisesInvolvement in corporate exercise such as due diligence work and document review.Liaising with external regulators, registrars, auditors and advisers.5. General meeting of shareholdersOrganize and co-ordinate activities before and after annual general meeting of listed companyDrafting of minutes of General Meeting of shareholders6. Facilitating auditTo liaise with external auditors during audit review and to provide information as requested by them, as well as external company secretaries/lawyers for overseas subsidiaries on secretarial matters.7. Ad Hoc responsibilitiesAny other duties as and when assigned from time to time.

REQUIREMENTS

Candidate must be professionally qualified as Associate member of the Malaysian Association of Chartered Secretaries and Administrators (“MAICSA”);Minimum 5 years of working experience in company secretarial practice with exposure to a public listed company.Well-versed in the Malaysian Companies Act 2016, Bursa Securities Listing Requirements, Securities Commission Act and Guidelines and other relevant legislations and regulations.Strong communication and minute writing skills.Good interpersonal skills and able to interact with people of all levels.Trustworthy and able to maintain a high level of confidentiality, integrity, commitment, initiative and a team player.Possess organizational competency to lead a team and handle multi-tasksApplicants must be willing to work in Bandar Sunway, Selangor
