Cromwell is seeking a motivated Company Secretariat Administrator or Board Administrator to join our legal and secretariat team in the role of Assistant Company Secretary. About the Role
The Assistant Company Secretary is a permanent full-time position based in Brisbane.
Reporting to the Company Secretary and Senior Legal Counsel, you will provide secretariat services to internal stakeholders and provide a high level of support to the Company Secretary and Senior Legal Counsel in a fast-paced and friendly environment.
Key Responsibilities:
- Coordinate the organisation of and preparation for Board and Board Committee meetings.
- Coordinate management reporting to Board and Board Committees.
- Collate all necessary Board and Board Committee papers and organise timely dispatch to Directors prior to meetings.
- Prepare and manage the Board and Board Committee meeting calendar.
- Organise Cromwell Property Group securityholder meetings (including the Annual General Meeting).
- Coordinate procedural matters for subsidiary companies (for example, annual company statements and solvency resolutions) to ensure compliance with statutory requirements.
- Coordinate lodgement of all statutory forms in a timely manner.
- Maintain Secretariat registers including for subsidiary companies, unit trusts and material documents.
- Coordinate the establishment of new subsidiary companies and unit trusts.
- Maintain and coordinate completion of Secretariat annual calendar of deliverables.
- Assist the Company Secretary as required with secretariat and corporate governance matters.
- Record and maintain Board and Board Committee minutes ensuring all follow-up actions are properly communicated.
