Responsibilities:

THE ROLE

Working within a supportive team, the Company Secretarial Department is seeking an Assistant Company Secretary, to be based in Dublin, who will undertake a varied role, working with the team and senior business leads across the Group on a variety of business critical, strategic and business as usual projects. This role will report directly to the Group Company Secretary.
This is a hybrid role, working 2 days per week (Tues & Thurs) in our office located in Citywest, Dublin.

WHAT YOU WILL BE DOING

  • Developing, managing and maintaining relationships to facilitate the effective delivery of company secretarial support working with other Inizio departments across the globe to ensure full alignment with business needs and policies.
  • Proactively contributing to the Company Secretarial Department’s planning, cohesion and consistency in advice, and the general efficiency and effectiveness of the department as a whole.
  • Responsibility for managing a Company Secretary Assistant, based in London.
  • Undertaking a broad range of company secretarial and legal support tasks.
  • Attending to statutory filings and notifications to the Registrar of Companies for Irish and UK companies and overseeing State and Federal filings for US and RoW companies.
  • Managing the annual process of filing UK and Irish subsidiary statutory accounts, liaising with Inizio’s Finance and Tax teams as necessary.
  • Maintenance of group company records (Ireland, in particular) to ensure accuracy and completeness.
  • Maintaining a central database of group companies (Diligent Entities).
  • Minute taking responsibilities for the Board’s Sustainability Committee
  • Preparation of routine subsidiary company minutes.
  • Assisting in ensuring good corporate governance and compliance and advising on best practice.
  • Coordinating the execution of documents.
  • Dealing with ad hoc queries from Group and subsidiaries.
  • Dealing with UBO and KYC information requests.
  • Assisting with ensuring that the Group Structure Chart is accurate and up-to-date.
  • Involved in rationalising dormant subsidiary companies.
  • As required, ad-hoc research tasks and involvement in project-based work, which is expected to be relatively extensive given the stage of Inizio’s integration and growth.

WHAT YOU BRING TO THE ROLE

  • ICSA qualified.
  • Educated to degree level or equivalent.
  • Ideally someone who has worked in a group with overseas subsidiaries.
  • Irish Company Law experience and working knowledge of the UK Companies Act 2006 and awareness of GDPR
  • IT skills: Word, Excel, PowerPoint, Diligent Entities and ideally Diligent Board.
  • Minute taking experience.
  • Highly organised and practicable.
  • Team player.
  • Ability to work to deadlines and remain calm and focused.
  • High level of accuracy/attention to detail.
  • Discreet and confidential.
  • Flexible and adaptable.
