Description:
WHO YOU’LL WORK WITH
You will reside in McKinsey’s Legal Department, focusing primarily on complex client fee arrangements: (i) in the equity and equity-like space (e.g., partnering with venture capital or private equity funds or such funds’ portfolio assets); and (ii) which are otherwise “performance based” (e.g., linked to an increase in a given client’s revenue or EBITDA).
You will work closely with firm leadership, the wider McKinsey Legal Department and other firm functions including Finance, Pricing and Arrangements, Treasury, Compliance and Tax to structure, negotiate and execute these arrangements from inception to completion. There will be opportunity to work with and learn from experienced lawyers with backgrounds in PE, VC, M&A and leveraged finance.
McKinsey’s Legal Department is a diverse and dynamic team of ~290 lawyers based across 43 countries, which provides a comprehensive legal service to our Firm’s consultants and support functions throughout the world.
QUALIFICATIONS
- A strong grasp of the fundamentals of equity arrangements, in particular the issues typically considered when deploying a minority investment
- 5+ years’ experience drafting and negotiating the types of contracts referenced above
- Team player who is highly collaborative, collegiate and flexible with a willingness to take on new, unexpected and complex assignments
- Commercial awareness: ability to identify the most salient pressure points in complex and varied commercial scenarios and address those items with a problem solving mindset
- Excellent communicator: conveys information clearly in written and verbal form; can translate large amounts of complex information into a digestible format capable of being understood by busy, non-legal professionals
- Accomplished project manager with the ability to readily switch between pragmatism and in-depth analysis
- Comfort in a highly challenging, fast-paced and dynamic environment
Responsibilities:
You’ll draft, review and negotiate complex contracts relating to equity, equity-like, debt and performance-based fees (incl. term sheets, LP agreements, investment agreements, bylaws/articles of association and services agreements). Negotiations will entail frequent interaction with McKinsey clients.
You’ll work with and manage external counsel where additional support is required, particularly with a view to ensuring compliance with relevant securities laws and other regulatory matters.
You’ll counsel consultants on a variety of other legal issues and working with them as they proceed through the firm’s risk and economic committee approval processes. You will also take an active active role in internal knowledge and learning e.g., developing precedent documents and rolling-out training for firm leadership, the wider McKinsey Legal Department and other firm functions.
You’ll identify best practices to address legal and professional issues impacting the firm’s business, including counseling consultants on the application of McKinsey’s internal policies.
