WHO YOU’LL WORK WITH

You will join McKinsey Legal’s Corporate Strategy & Alliances (“CSA”) team reporting to the Managing Counsel. The CSA team supports the firm on matters related to strategic alliances, mergers and acquisitions, and corporate governance matters. In this role you will specifically focus on the Alliances sub-team.

QUALIFICATIONS

• Qualified lawyer with 3+ years’ post-qualification experience in commercial, technology transactions or intellectual property law practice, preferably with some in-house experience
• Experience leading complex alliance, joint-venture, partnering arrangements or joint development arrangements
• Highly effective communicator who listens actively, conveys information clearly and succinctly in writing and verbally, and translates complex legal concepts into actionable advice
• Strong organization skills; ability to effectively prioritizes workflow and manage multiple projects simultaneously while delivering against deadlines
• Strong problem-solving, collaboration and influencing skills; ability to work effectively with cross-functional teams and stakeholders
• Trusted advisor who demonstrates impeccable judgment and values; builds strong relationships across the organization; and is comfortable working with senior leadership
• Ability to work both independently and collaboratively with other lawyers to deliver distinctive legal services to our internal clients

You will work in close affiliation with the Associate General Counsel sub-team lead as well as the broader Alliances & Ecosystems (A&E) commercial and risk teams within the firm to help implement the legal components of McKinsey’s partnering program, the McKinsey Collaboration Network (MCN). The MCN is a key enabler of innovation and growth of McKinsey through strategic alliances and collaborations with leading technology and specialty capability firms.
The position will broadly focus on the following: (i) strategic alliances and collaborations, (ii) research and knowledge collaborations, (iii) joint ventures, (iv) strategic licensing arrangements, and (v) risk mitigation when working with external parties to jointly serve clients or build new capabilities, in each case, on a global basis, though with a primary focus in Europe. The position will involve a broad mix of contract drafting and negotiation with collaboration partners, from pilot collaboration agreements to high-value, high-risk, complex agreements.

Your role will encompass a diverse range of responsibilities, including:

• Developing, reviewing and negotiating a variety of joint service, joint ventures, joint development, and knowledge / research collaboration agreements, ranging from simple and standard to complex and bespoke;
• Guiding internal teams in their efforts to develop third-party relationships, and advising on structuring such relationships, including governance, transaction structuring and other legal issues;
• Assisting the Alliances legal team in the development and implementation of training and compliance programmes and processes to facilitate collaborations and other strategic alliances;
• Responding to all legal issues arising throughout a process and escalating to proper stakeholders as necessary;
• Ensuring all legal and firm governance approvals for the alliance / collaboration are obtained.
