Hexcel is currently seeking a highly skilled Associate General Counsel to join our team as an in-house counsel for our Stamford CT, location. This position reports to the EVP, General Counsel and Secretary.
In this role, you will be responsible for handling various complex legal matters and projects, ensuring the appropriate handling of our commercial transactions, and providing expert advice on our Company’s legal rights and responsibilities. In this position, you will play a crucial role in safeguarding our organization against legal risks by conducting thorough research and analysis. You will develop Company policies and positions on legal issues and ensure compliance with relevant laws and regulations. Additionally, you will be involved in structuring, drafting, and reviewing legal documents, as well as representing the Company in various legal matters. The selected individual will be responsible for but not limited to the following obligations:

General Corporate Responsibilities

  • Consult and handle assigned corporate legal matters and areas of specialty, may include ethics and compliance (particularly investigations), mergers & acquisitions, litigation, commercial agreements, and trade compliance.
  • Develop Company policies and positions on legal issues.
  • Research, anticipate and guard Company against legal risks.
  • Guide managers and ensure compliance with rules and regulations.
  • Structure, draft and review reports and other legal documents.
  • Draft, negotiate and administer commercial contracts.
  • Negotiate deals and attend Company meetings.

Primary Areas of Legal/Trade Responsibility

Corporate legal matters are collectively managed by attorneys based at the company’s headquarters in Stamford, CT. The primary, expected accountabilities for this role are listed below, with the understanding that there will be opportunities to broaden the breadth of responsibility of the role based on individual areas of expertise:

  • Handling all legal matters for the EMEAAP and Industrial business, including in areas such as commercial transactions, M&A, government contracting, labor & employment, litigation and disputes, and regulatory matters, as well as acting as a senior advisor on the EMEAAP and Industrial business team.
  • Providing legal guidance on employment matters for EMEAAP and Industrial business, including labor relations, employee contracts, and compliance with labor laws. In partnership with the Global Ethics & Compliance team, handling disputes related to workplace safety, discrimination, and wrongful termination for non-US region and participate, as appropriate, in ethics and compliance investigations.
  • Provision of legal support for the Integrated Supply Chain function and the SVP-ISC, which includes responsibility for legal support to Global Sourcing.
  • Specifically, provide comprehensive advice and management of legal activities for all aspects of global sourcing, including vendor selection, contract negotiation, and supplier management. Negotiate, draft, and review a variety of sourcing agreements, including master services agreements, purchase agreements, supply contracts, and vendor agreements.
  • Provision of legal support for global environmental, health and safety matters, including interactions with regulators and handling of environmental litigation, as well as insurance relationships and Superfund related issues.
  • Provision of legal support for U.S. real estate transactions, including purchases, sales, leases, and easements.
  • With the support of outside counsel, manage litigation matters on a global basis for the Company.
  • Provide legal support for the Government Relations function, ensuring compliance with relevant regulations (e.g., PAC), and advising on contract-related matters.

Requirements and Skills

  • Minimum 10 years of experience, which may be a combination of law firm and in-house roles. International experience is a plus.
  • Up to 25% travel, as needed.
  • Proven background in corporate law (with significant experience in Potential Areas of Responsibility outlined below).
  • Excellent negotiation and communications skills.
  • Administrative and managerial skills.
  • Analytical ability and strong attention to detail.
  • Proven track record of managing complex legal projects.
  • Current license to practice law in at least one state in the United States and ability to waive in as in-house counsel in Connecticut.
  • JD degree in Law with strong academic background.
