POSITION OVERVIEW

We are seeking an associate lawyer with 2-5 years of experience in corporate and commercial law. This position offers the ability to work alongside established practitioners who are committed to producing proactive, strategic, and forward-thinking counsel in all areas of our clients’ businesses.

SKILLS AND ABILITIES

  • Support corporate transactions (non-arm’s length corporate reorganizations, as well as mergers, acquisitions, and divestitures), particularly insofar as legal due diligence and the drafting and negotiation of letters of intent, non-disclosure agreements, purchase and sale agreements, restrictive covenant agreements, resolutions, and other related legal documents.
  • Support commercial (and, to a lesser extent, residential) real estate transactions, particularly insofar as legal due diligence and the drafting and negotiation of letters of intent, non-disclosure agreements, purchase and sale agreements, commercial leases, mortgages, easements, and other related legal documents.
  • Draft and advise on a broad range of commercial agreements, including for service and supply, distribution, licensing, manufacturing, and construction.
  • Working knowledge of the Alberta Business Corporations Act and the Canada Business Corporations Act, particularly insofar as corporate records (i.e., minute book) compliance, corporate governance (i.e., directors and shareholders resolutions), and prescribed transactions (ex., amalgamations and dissolutions).
  • Draft and advise on a broad range of corporate and security agreements, including Unanimous Shareholders Agreements, General Security Agreements, and Powers of Attorney.
  • Ability to quickly grasp supporting software tools, and standardized process. (HGA Law is a technology-forward firm and aims to continuously evolve its technological tools and firm processes).

QUALIFICATIONS & EDUCATION REQUIREMENTS

  • A member in good standing of the Law Society of Alberta; eligible to practice as a lawyer in Alberta.
  • Called to the bar in 2022 or earlier.
