GENERAL ACCOUNTABILITIES:

  • Provide law clerk support services for the Corporate Secretary and Assistant Corporate Secretary.
  • Assist with entity governance management across our organization, including compliance with legislation and maintaining GEMS database.
  • Assist in the coordination of board activities, including preparing resolutions, materials, and minutes for quarterly board meetings.
  • Drafting annual disclosure documents (such as management information circular).
  • Prepare and maintain corporate records, including by-laws, resolutions, registers and ledgers.

ESSENTIAL EXPERIENCE

  • Post-secondary degree with over 5 years of experience in a public company or law firm or an equivalent combination of education and relevant experience
  • Working knowledge of securities law, instruments, rules, forms and policies in Ontario.
  • Strong administrative, organizational, interpersonal and communication skills
  • Exceptional attention to detail
  • The ability to take initiative and exercise judgement in identifying issues needing immediate attention
  • Demonstrated professionalism, discretion, and respect for confidentiality
  • A high proficiency in English grammar to prepare concise and effective correspondence, reports, etc.
  • Excellent organizational skills and the ability to redefine priorities when necessary.

PREFERRED SKILLS:

  • Law clerk designation is preferred
  • Experience in a Corporate Secretary’s Department of a public company or a law firm is preferred
  • Experience administering Board Portal platform (Diligent) and entity management system (GEMS) is considered an asset
  • Experience with TSX and SEDI filings, and understanding of legislation and regulatory requirements
  • Experience in drafting annual disclosure documents
  • Enthusiasm for constant improvement
  • Ability to work effectively in a high volume and high-pressure work environment

Responsibilities:

  • Preparing TSX, SEDI and Oncorp filings
  • Maintaining Shareworks
  • Completing quarterly director compensation mailings
  • Posting board meeting materials for meetings via Diligent software
  • Generating Computershare reports
  • Assisting in drafting annual and special meeting materials including proxy materials, scripts, minutes, etc.
  • Provide administrative support.
