JOB DESCRIPTION:
Larkin Hoffman is seeking to add a Business & Corporate Law Associate Attorney to join its nationally recognized Franchise and Distribution practice group. This candidate will have the opportunity to work alongside our well-known franchise lawyers with national and emerging brands in a fast-paced and client-centric environment. In this position, you will also have the opportunity to build a career and practice in a fast-growing area of the law. The right candidate will possess three or more years of business & corporate experience, be a hard worker who is driven to build a practice, and be admitted to practice law in the state of Minnesota. Preference will be given to candidates with prior experience handling franchise legal matters.

Additional Duties and Responsibilities:
- Work with other franchise lawyers to help clients structure franchise relationships and document those relationships.
- Perform franchise regulatory work that includes interacting with state and federal regulators, advising clients of their rights under applicable federal and state laws, and address business and legal issues regarding their business.
- Draft various agreements and work with buyers and sellers of companies.
- Work on a variety of legal matters and represent small to mid-sized clients with general business and corporate matters including mergers & acquisitions.
- Draft and negotiate purchase agreements among owners, shareholder agreements, and operating agreements.
- Assist with entity formation/structuring.
