Description:
Natus Sensory (the “Company”) is in the process of separating from Natus Medical/Neuro and operating as an independent, stand-alone entity. The Sensory Chief Financial Officer (the “CFO”) will work closely with the Board of Directors, ownership, the Neuro leadership and others to accomplish a successful separation in January 2025 and thereafter to finalize a successful establishment as an independent entity. The CFO is responsible for the Company’s global financial strategy and directing its fiscal functions in accordance with GAAP and all other applicable laws and regulations. In addition, the CFO oversees treasury, tax, IT, and related functions. The position is the primary point of financial contact for the Board of Directors and the Company’s ownership and for overall financial management.
EDUCATION
Bachelor’s degree in Accounting or Finance from an accredited college or university, MBA/MS highly desirable; CPA preferred.
EXPERIENCE
- 15+ years of experience in progressively responsible financial leadership roles.
- Experience as a CFO in a PE-backed company and experience in medical device, healthcare or manufacturing is preferred.
- Experience with Oracle applications, Hyperion and Adaptive Insights is preferred.
- Experience managing a multinational finance organization and implementing effective global financial reporting, foreign currency hedging and tax optimization policies.
- Strong experience establishing and maintaining effective internal controls to enable the timely and accurate preparation of consolidated financial statements, in accordance with U.S. GAAP, for monthly financial reports and annual audit.
- Strong disciplines around strategic planning, financial risk management, controls, financial systems, etc.
- A track record of being part of a successful M&A team, specifically including negotiation, due diligence, and integration experience.
- Superior communication, presentation and negotiation skills, and the ability and desire to be the finance lead in management and board presentations, roads shows, etc.
- Skilled at developing and establishing external relationships with investors, shareholders, bankers and the investment community desired.
Responsibilities:
- Works with senior executives, the Board of Directors, and ownership to establish the Company’s financial and strategic goals, meet specific business objectives, and comply with legal, regulatory and debt reporting requirements.
- Works with senior executives to ensure compliance with the Sensory/Neuro Transition Services Agreements (“TSA”); works toward a full separation and termination of the TSAs.
- Participates in the development of the Company’s annual operating plan, budgets, and programs.
- Plans, develops, directs, and evaluates the Company’s fiscal function and performance.
- Develops, creates and ultimately oversees the Company’s IT role, including helping to develop its IT strategy and working toward a stand-alone competence appropriate for the Company’s needs, and ensure the appropriate provision of services to Sensory under the TSAs.
- Oversees all aspects of financial planning and reporting, including the controller function, and accounting on a global basis to ensure compliance with financial reporting standards, owner expectations, loan agreements and covenants, and regulatory requirements.
- Provides timely and accurate analysis of budgets, financial reports and financial trends in order to assist the CEO, Board of Directors, ownership, and senior executives in performing their responsibilities.
- Helps to successful identify, negotiate and close M&A transactions, and lead the integration to maximize the ROI of such investments.
- Enhances and/or develops, implements and enforces policies and procedures to improve the Company’s overall operation and effectiveness.
- Provides technical financial advice and knowledge to others within the financial discipline.
- Drives continuous improvement in the budgeting process through the education of department managers on financial issues impacting department budgets.
- Provides strategic financial input and leadership regarding issues impacting the Company (i.e., evaluation of potential alliances acquisitions and/or mergers, investments, and other opportunities).
- Develops a reliable cash flow projection process and reporting mechanism that includes minimum cash thresholds to meet operating needs.
- Coaches and mentoring all Company financial professionals.
- Maintains accountability for the Company’s cash and debt management, including optimizing the handling of bank and deposit relationships and initiating appropriate strategies to enhance the Company’s cash position.
- Advises from the financial perspective on any contracts, leases and similar obligations into which the Company may enter.
- Evaluates the finance division structure and team plan for continual improvement as well as providing individuals with professional and personal growth advice and opportunities.
