Description:
We are currently seeking for an exceptional Company Secretary Assistant with a basic company secretary experience to provide solid support to the business. You will work in a dynamic, fast-paced environment and will have the opportunity to lead a team that provides crucial support to the organization.
You will be supporting the company with respect to a broad range of corporate matters, including global subsidiary management, transactional matters, and corporate governance matters. Your role will include assistance with the creation and maintenance of corporate records; executing on company secretary projects; participating on corporate governance activities; data management activities (archiving, data entry, organizing company records); assisting with all aspects of parent and subsidiary board planning, drafting resolutions, and collaborating within the Legal department.
This is a fantastic position offering the successful candidate the opportunity to assist in strengthening the company secretary function. This role would suit someone already operating at company secretary level or having basic experience (and interest) in this area.
ABOUT YOU – EXPERIENCE, EDUCATION, SKILLS, AND ACCOMPLISHMENTS
- A chartered secretary (such as CGI), a qualified lawyer with first company secretarial experience or any other relevant qualification.
- 2+ Years’ relevant experience.
- Good technical and analytical skills, with the ability to apply due diligence.
- Passionate about ensuring corporate governance best practice with the ability to identify and drive efficiencies in policies and frameworks.
- Basic understanding of company law applicable to different subsidiaries.
- Basic project management and organizational skills and the ability to work well under pressure, prioritize effectively and meet deadlines.
- Demonstrated experience utilizing technology to maintain corporate books and records (systems used include apart from standard applications like MS Office in particular Thomson Reuter Legal Tracker, Athennian, D&B database)
- Ability to work effectively and collaboratively with colleagues at all levels across the organization.
- Positive attitude and willingness to go above and beyond to support the team and wider business.
Responsibilities:
- Assist on a variety of company secretary matters in relation to the group of companies of Clarivate.
- Reviewing subsidiaries with local counsel, regional controllers, and colleagues to ensure accuracy of corporate records.
- Preparing and maintaining custody of corporate books and records, approvals, and filings.
- Assist with data management activities in relation to global subsidiary entity information and entity management database.
- Assist in the preparation of a calendar of all regulatory filings and assist with filing requirements globally.
- Providing timely responses to requests for information relating to corporate actions and records.
- Managing special corporate projects, including new entity formation and entity restructuring.
