Responsibilities:

Reporting to both the CEO and Board Chair, the Company Secretary will work closely with the Board Chair EA, Executive Officer and CEO.

This is a senior role within the organisation, which is responsible for the following:

  • Conducting annual Board reviews and organising Board off-site forums
  • Setting up and attending all Board meetings, Sub Committee meetings, and advisory meetings
  • Keeping up to date with any legal, regulatory, or other changes that may impact VMCH’s approach to corporate governance.
  • Timely and accurate preparation of Board minutes
  • Provide governance support to the Board and senior leadership, offering advice on corporate governance and risk management.
  • Maintain statutory registers and records, ensuring accurate and timely filing of documents with regulators.
  • Prompt distribution of Board papers
  • Organising catering and coordinating Board retreats and planning days
  • Proofreading and formatting reports
  • Providing briefing notes to the CEO and Chair
  • Orientation of all new Board members
