Responsibilities:
Reporting to both the CEO and Board Chair, the Company Secretary will work closely with the Board Chair EA, Executive Officer and CEO.
This is a senior role within the organisation, which is responsible for the following:
- Conducting annual Board reviews and organising Board off-site forums
- Setting up and attending all Board meetings, Sub Committee meetings, and advisory meetings
- Keeping up to date with any legal, regulatory, or other changes that may impact VMCH’s approach to corporate governance.
- Timely and accurate preparation of Board minutes
- Provide governance support to the Board and senior leadership, offering advice on corporate governance and risk management.
- Maintain statutory registers and records, ensuring accurate and timely filing of documents with regulators.
- Prompt distribution of Board papers
- Organising catering and coordinating Board retreats and planning days
- Proofreading and formatting reports
- Providing briefing notes to the CEO and Chair
- Orientation of all new Board members
