Description:
Position Scope:
We are seeking a Compliance Specialist to support our Risk & Legal team by managing and coordinating North American Construction Group’s compliance programs. This is a great opportunity for someone with legislative and regulatory compliance experience and a keen eye for detail to work with a high performing and innovative team while making an impact.
The Compliance Specialist will manage and coordinate the company’s compliance programs, practices and behaviors, ensuring the same meet industry-leading standards. They will enable ownership of compliance by management and their teams by providing proactive coaching and expert guidance. The Compliance Specialist will also develop, implement, and maintain best practices that meet or exceed company, contractual, client, and legislative obligations.

Responsibilities:
Legislative and Regulatory Compliance
- Develop and maintain a complete register of all legislative and regulatory obligations that the company and its subsidiaries are subject to and that require a periodic filing or registration, including
- Corporate statutes – maintaining minute books, preparing and filing annual returns and other required corporate documents, etc.
- Securities regulations – managing the company’s insider trading policy, filing insider reports, etc.
- Requirements of applicable stock exchanges – dividend notices, annual filings, etc.
- Municipal licensing – business licenses, contractor licenses, etc.
- Requirements of other federal, provincial, local, or foreign government agencies
- Attend to all required filings, registrations, or renewals, or monitor compliance with other business units (HSE, Fleet, etc.) to ensure they are attending to the required filings, registrations, or renewals.
- Coordinate with external agents or counsel as necessary to ensure compliance with foreign legal requirements.
Corporate Governance and Policy Management
- Manage corporate policies and charters, including coordination of periodic review and assisting in drafting or updating policies and charters periodically to meet developing best practices.
- Keep informed of legislative and regulatory developments as well as best practices in corporate governance and advise on recommended changes to policies and procedures.
- Maintain a register of related parties, as required by applicable regulations and audit standards.
- Coordinate annual director and officer questionnaires and independence assessments.
Public Disclosure and Documentation
- Ensure that website disclosure of public documents meets legal requirements and best practices.
- Prepare and file annual returns, corporate documents, and insider reports.
Proactive Compliance Guidance
- Provide proactive coaching and expert guidance to management and their teams.
- Facilitate the adoption of industry-leading compliance practices and behaviors within the company.
