Description:
The Contract Specialist / Paralegal role will report to the Corporate Counsel and will be responsible for working with the Corporate Counsel negotiating and drafting various commercial agreements, including SaaS (customer facing), supplier, partner, and MNDAs to finalization. The Paralegal will assist with processing and filing documents for signature as well as developing, implementing, and improving internal processes and workflows for the legal team and Deposco generally. This role requires collaboration across all business departments within Deposco on an ad hoc basis. The ideal candidate will be an effective communicator with an attention to detail to ensure accuracy in legal documentation and for compliance purposes.
Responsibilities:
- Draft and negotiate SaaS agreements and commercial agreements generally, including customer-facing SaaS, supplier/vendor, partner, MNDAs, and other various agreements.
- Have a general understanding of contract law;Send and respond to demand letters to third parties in breach of contract or past due on payment.
- Build out processes and workflows for the legal team and various business teams in Deposco and clearly communicate the processes.
- Knowledge of Salesforce operations and working within Salesforce.
- Build out playbooks and language libraries for customer-facing, partner, MNDA, and supplier/vendor agreements.
- Assist in compliance and business registration requirements, including local and state registrations and filings.
- Work with the sales team in a fast-paced environment to ensure timely closing of customer agreements.
- Draft and finalize internal policies and share the same with applicable Deposco teams;
- Provide general legal support and administration as necessary.
