Description:
Weaver, Simmons LLP is seeking an experienced Corporate/Commercial Law Clerk to join our Sudbury office.
KNOWLEDGE, SKILLS AND ABILITIES:
- A general understanding of the Business Corporations Act, with relevant experience, is considered an asset.
- Familiarity with software programs such as Fast Company, Adobe, Microsoft Suites, and PC Law is an asset.
- Proficiency in navigating eCore, Teraview, PPSA, Ontario Business Registry and the OBCA websites.
- Maintain confidentiality and a high level of attention to detail.
- Effective prioritization and multitasking skills for managing multiple tasks efficiently.
- Initiative and the ability to work independently as well as collaboratively within a team.
- Excellent verbal and written communication skills; bilingualism is an asset.
- Highly reliable with a focus on accuracy in all tasks.
- Strong organizational skills, ensuring orderly and efficient work processes.
QUALIFICATIONS:
- A administrative background or prior experience working within an office environment is an asset.
- Previous legal experience is highly valued and will be considered a significant asset.
- Completion of the Paralegal or Law Clerk degree or certificate is an asset.

Responsibilities:
- Draft various legal documents related to incorporations, annual proceedings, dissolutions, and annual resolutions.
- Conduct minute book reviews, ensuring the accurate maintenance of corporate records and registers.
- Perform corporate searches, analyze and summarize search results for review.
- Assist in corporate reorganizations, share and asset purchase/sale transactions.
- Draft, review, and organize closing documents, including resolutions, officer’s certificates, and supporting materials.
- Enter dockets, draft reporting letters and prepare invoices and accounts for clients.
- Perform additional duties as required.
