Forestar is currently looking to fill a Corporate Counsel-FG position. This will be a transactional attorney reporting to the Senior Vice President of Governance, Risk and Securities, to support Corporate Securities, Finance, Risk Management and Corporate Secretary functions. This position will work cross functionally and play a central role in a broad array of corporate legal matters including various corporate practices, securities and regulatory compliance, accounting, real estate transactions, insurance, marketing, finance, real estate operations and other issues that arise on a daily basis.

Essential Duties and Responsibilities include the following. Other duties may be assigned.

  • Draft and review corporate governance documents, including board and committee agendas, meeting minutes, resolutions and other meeting materials
  • Serve as a resource to the corporate legal team, executive officers, Board of Directors, and others as required for general corporate matters
  • Works cooperatively with attorneys and other stakeholders
  • Assists with preparation and review of SEC filings and other securities-related work
  • Assists with research and organization of corporate organizational matters, including subsidiary records, intercompany matters, and state and local annual reports and other filings
  • Interact daily with personnel across the company, including compliance, accounting, finance, marketing, and investor relations, regarding a broad array of compliance issues including those typically encountered in the land and lot development industry
  • Manage and prioritize multiple projects; analyze business and legal risks presented by these projects, coordinate with appropriate stakeholders; and bring these projects to a successful conclusion without significant supervision
  • Maintain continuing education and training requirements
  • Conducts all business in a professional and ethical manner to serve customers and increase the goodwill and profit of the company
  • Ability to travel overnight

REQUIRED QUALIFICATIONS

  • Juris Doctoral degree (J.D.) is required
  • 2 - 5+ years of experience is required
  • Familiarity with various corporate practices, including regulatory compliance a plus
  • Current license to practice law
  • Possess exceptional interpersonal, written and verbal communication skills
  • Proficient at working in a fast-paced, high activity environment
  • Excellent and strong attention to detail and problem-solving abilities
  • Ability to work well within a team
  • Ability to communicate and build relationships via teams and other remote style communications
  • Ability to apply common sense understanding to carry out instructions furnished in written oral form
  • Proficiency with MS Office and email
  • Ability to sit for the majority of 8-hour workday; use hands and fingers to handle or feel; reach with hands and arms; talk and hear. Specific vision abilities required by this job include close vision and peripheral vision
  • The noise level is generally moderate

PREFERRED QUALIFICATIONS

  • Experience in a leading law firm or public company experience is preferred
  • Corporate transactional experience is preferred
  • SEC and securities experience is preferred
  • Risk Management experience is a plus
