EXPERIENCE AND EDUCATION:

  • Four (4) to Six (6) years of experience gained in law firm and/or in-house with a major company.
  • Juris Doctor from an accredited U.S. law school, with strong academic credentials.
  • Must be admitted to the Florida bar or ability to register as an Authorized House Counsel
  • Significant transactional experience with focus on drafting, reviewing and negotiating commercial contracts.
  • Banking /finance/in-house legal experience preferred.

Responsibilities:

ABOUT THE ROLE:

The Corporate Counsel will be an integral member of the PayCargo Legal Team. The Corporate Counsel will interface with the business development teams, as well as operations, technology, human resources, accounting, finance, sales, and marketing. The Corporate Counsel will prepare, review, and negotiate agreements, and provide strategic legal advice on a broad range of topics including payment services, banking, regulatory, and compliance issues.

DUTIES AND RESPONSIBILITIES:

  • Provide strategic legal advice to a number of internal departments.
  • Structure, negotiate, and draft company agreements, including non-disclosure agreements, consulting agreements, terms of use, service provider agreements, and related commercial contracts.
  • Review legal issues related to payment service licensure and regulation, anti-money laundering, OFAC/sanctions compliance, and fraud mitigation.
  • Coordinate with outside counsel on a variety of legal matters, including corporate, commercial transactions, litigation, and employment.
  • Research, review, and interpret the requirements of laws, statutes, rules, regulations, and government agencies, and their applicability to the business.
  • Advise and provide legal support in connection with international business expansion.
  • Identify and evaluate legal risks as related to fintech companies, and propose solutions to mitigate risk.
  • Draft and review of contracts in accordance with the company policies and legal requirements, and prepare, review, and revise company legal policies and procedures, and related matters.
  • Analyze potential business engagements, with a focus on commercial contracts.
  • Engage in direct communications with internal clients.
  • Support legal projects and related assignments.
  • Perform other duties as required.
