What We’re All About:
Q2 is proud of delivering our mobile banking platform and technology solutions, globally, to more than 22 million end users across our 1,300 financial institutions and fintech clients. At Q2, our mission is simple: Build strong, diverse communities by strengthening their financial institutions. We accomplish that by investing in the communities where both our customers and employees serve and live.
What Makes Q2 Special?
Being as passionate about our people as we are about our mission. We celebrate our employees in many ways, including our “Circle of Awesomeness” award ceremony and day of employee celebration among others! We invest in the growth and development of our team members through ongoing learning opportunities, mentorship programs, internal mobility, and meaningful leadership relationships. We also know that nothing builds trust and collaboration like having fun. We hold an annual Dodgeball for Charity event at our Q2 Stadium in Austin, inviting other local companies to play, and community organizations we support to raise money and awareness together.
The Job At-A-Glance:
Q2 is seeking a Corporate Counsel that will support the Q2 Legal team in a broad range of complex legal matters for Q2, including assisting with managing legal, compliance, and regulatory issues for a complex, publicly traded financial technology company. The Q2 Legal team is ethical, fast-paced, collegial, and professional and provides pragmatic, business-savvy legal solutions to empower Q2’s business units to meet their goals in a timely, effective and compliant manner. The Corporate Counsel position will reside in Q2’s Legal team and report directly to the Deputy General Counsel.

A Typical Day:

  • Negotiate and draft a broad range of commercial contracts to support business functions across Q2, including product, business development (channels), IT, security, compliance, marketing, accounting and finance, advising management on contract status, legal risks, and business terms of transactions
  • Counsel internal teams based on a strong understanding of legal and regulatory frameworks and industry standards applicable to Q2’s services, including emerging technology issues.
  • Enforce and improve business processes for support, negotiation, approval, and execution of non-customer commercial contracts
  • Support customer contract operations when needed, including handling escalations and negotiations during high-volume periods
  • Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes, and offer appropriate solutions to complex legal questions
  • Assist with due diligence reviews of target companies in M&A transactions
  • Assist with integration of operations of acquired entities
  • Review company programs and materials to ensure compliance with legal requirements
  • Support and manage (as applicable) the investigation of, responses to, and settlement and resolution of third party claims and litigation
  • Develop, enforce and train on company legal and corporate governance policies to ensure continued compliance in a complex and dynamic regulatory environment
  • Contribute to other Legal team goals and initiatives as needed; the Corporate Counsel will be provided with ample opportunities to support and manage the much broader range of ongoing in-house legal matters for Q2.

  • J.D. and bachelor’s degrees from U.S. accredited institutions
  • Bar membership in at least one U.S. jurisdiction
  • 3 – 5+ years of post-J.D. experience with a large law firm or corporation, with a transactional focus and preferably negotiating technology and services contracts.
