DESCRIPTION OVERVIEW

Perrigo has a vacancy for a Corporate Governance Assistant that may suit someone with at least one year of company secretarial experience in a law firm, corporate services provider, or in a multinational company.

EXPERIENCE OR AN INTEREST IN SOME OF THE FOLLOWING AREAS IS AN ADVANTAGE:

  • At least one year of company secretarial experience in law firm, corporate services provider or in multinational company
  • Part qualified company secretary or studying towards qualification
  • Excellent oral and written English
  • Proficiency in MS Office required
  • Good working knowledge of CORE and RBO, GEMS optional but a plus
  • Experience with Irish subsidiary management with exposure to other EU jurisdictions corporate governance or US corporate governance
  • Experience in dealing with KYC/AML requests from financial institutions
  • Experience in interacting with external stakeholders such as legal counsel or notaries
  • Familiarity with notarisation and apostille requirements
  • Experience in interacting with other internal teams such as Tax, Finance and Treasury
  • Working knowledge of other EU language a plus

Responsibilities:

Corporate Governance Management:

  • Support the preparation and filing of annual reports and corporate compliance filings for all global subsidiaries
  • Support in convening subsidiary board meetings and drafting board minutes for review
  • Support the monitoring and managing of subsidiary compliance
  • Manage and maintain GEMs database and corporate records
  • Support the preparation and arrange execution, notarisation and apostille of required documents
  • Partner with various departments with respect to ad-hoc intercompany projects

Training:

  • Support with the preparation of trainings or presentations
  • Support the coordination of governance training for subsidiary directors and officers

Ad-hoc:

  • Projects: Complete and manage ad hoc projects as required
  • Assist Drafting: Assist in-house counsel with drafting of documents as required
  • Process Review: Assist and recommend system and process improvements for various groups throughout the company
  • Legal Research: Occasional legal topic research, as needed
