Description:
Location: Riyadh, KSA.

We are seeking a highly skilled and experienced Corporate Governance Manager to oversee and enhance the corporate governance framework for our organizations board of directors. The ideal candidate will have a deep understanding of governance practices, regulations, and frameworks, ensuring effective board operations, regulatory compliance, and best-in-class governance standards. The individual will work closely with senior management and the board to implement policies, monitor governance processes, and ensure alignment with legal requirements and industry standards.
QUALIFICATIONS AND EXPERIENCE:
- 8-10 years of experience of relevant experience.
- In-depth knowledge of corporate governance codes, practices, and legal frameworks.
- Proven experience managing governance functions and board operations within a corporate or consulting environment.
- Strong understanding of compliance, risk management, and stakeholder engagement principles.
Responsibilities:
- Governance Framework Development:
- Design, implement, and manage corporate governance frameworks, policies, and procedures to ensure alignment with global best practices and local regulations.
- Regularly review and update governance policies to reflect changes in regulatory requirements and organizational needs.
- Board of Directors Support:
- Coordinate the preparation of board agendas, meeting schedules, and documentation to ensure timely decision-making.
- Provide governance advisory to the board, including regulatory developments, governance trends, and fiduciary responsibilities.
- Manage board committee activities, ensuring compliance with charters and mandates.
- Compliance and Regulatory Reporting:
- Monitor the organization’s compliance with applicable laws, regulations, and internal governance standards.
- Liaise with regulators and external stakeholders to ensure timely submission of governance-related reports and disclosures.
- Training and Development:
- Develop and conduct governance training programs for board members and senior executives.
- Maintain a governance induction process for new board members, ensuring a smooth onboarding experience.
- Stakeholder Engagement and Relationship Management:
- Collaborate with internal and external stakeholders, including shareholders, auditors, and regulatory bodies, to align governance practices with expectations.
- Act as the primary point of contact for governance-related inquiries from stakeholders and the board.
- Risk Management and Conflict Resolution:
- Identify governance risks and work proactively to mitigate potential issues.
- Monitor and address conflicts of interest within the board and senior management to ensure integrity and ethical behavior.
