QUALIFICATIONS AND EXPERIENCE:
- Bachelor’s degree; legal assistant or paralegal training preferred.
- At least 3 years of experience in corporate governance within an in-house legal department or law firm, with hands-on experience managing corporate books and records.
SKILLS REQUIRED:
- Exceptional project management and organizational skills, with a passion for process improvement.
- Proficiency in corporate entity management software, especially Diligent Entities.
- Strong command of MS Office applications and collaboration tools (Word, Excel, PowerPoint, Outlook, SharePoint, Teams).
- Excellent interpersonal skills for effective communication with attorneys, paralegals, senior executives, and stakeholders.
- Ability to thrive both independently and as part of a team.
- Strong time management skills and a commitment to maintaining confidentiality.
Responsibilities:
- Organize and Maintain: Keep our corporate governance information organized and up-to-date, including articles of incorporation, bylaws, agendas, minutes, and resolutions.
- Database Management: Update and maintain our corporate entity management database (Diligent), ensuring accurate records of legal entities, including their state of incorporation, organizational structure, and corporate officers.
- Compliance Support: Assist in managing corporate entity compliance, including qualifications to do business and annual reporting.
- Collaborate on Special Projects: Work alongside a talented team on initiatives that drive our success.
- Corporate Housekeeping: Support the overall maintenance of corporate records and governance.
