REQUIRED SKILLS & EXPERIENCE:
- Law degree (LLB/JD) and qualified to practice law in any Canadian jurisdiction; US Experience would be considered an asset;
- 5-10 years of experience at a firm or in-house setting in the oil and gas industry;
- Midstream experience is preferred;
- Experience with Regulatory matters would be considered an asset;
- Experience in corporate/commercial legal matters, with an emphasis on commercial agreements, including experience in with commercial arrangements; negotiations and drafting;
- Ability to interact effectively with senior management and external parties;
- Strong interpersonal and communication skills;
- Strong analytical, problem solving, and organizational skills;
- Ability to meet deadlines and balance commercial pressures with business risks;
- High degree of professional ethics and integrity;
- Good judgment in working with customers (internal and external), occasionally under ambiguous or challenging circumstances;
- Entrepreneurial work ethic;
- Great team player with the ability to anticipate and proactively resolve issues;
- Proficiency in MS Office – Word, Excel, PowerPoint, Outlook, etc.
Our Steel Reef team has returned to the office, however, to provide our employees with flexibility, we have implemented a trial hybrid work model where employees have the option to work from home four (4) days per month. Responsibilities:
PRIMARY RESPONSIBILITIES:
Steel Reef Infrastructure Corp. is currently recruiting for the full-time position of Corporate Legal Counsel. Reporting to the Vice President, General Counsel the Corporate Legal Counsel will provide legal advice to Steel Reef including corporate and commercial matters, transactional matters, procurement matters, and other general legal work required. The successful candidate will be able to ensure legal compliance and limit risk exposure.
KEY RESPONSIBILITIES INCLUDE:
- Provide legal advice to internal clients, identify legal risk and provide strategic advice on legal obligations in alignment with Steel Reef’s business and commercial strategies;
- Prepare and review material commercial agreements, including joint venture agreements, credit support agreements, confidentiality agreements, letters of intent, requests for proposals, bids, leases, and other contracts;
- Interpret contracts and advise Steel Reef on the legal implications of business decisions;
- Assist in the co-ordination and instruction of external counsel in consultation with internal clients and decision makers;
- Provide direction and advice on Steel Reef’s corporate policies, as required;
- Respond to any day-to-day commercial legal inquiries, resolving issues collaboratively with respective groups;
- Provide legal support to the Regulatory team with respect to CER and FERK regulations;
- Provide legal support to the Finance department with respect to supporting credit renewals, securities offerings, and project financings;
- Identify proactive solutions that will eliminate or mitigate risks;
- Base your decision-making process on ethics and integrity;
- Create associations of trust and respect with key stakeholders;
- Provide additional legal services as required.
