WHAT WE ARE LOOKING FOR:
We are looking for an experienced Corporate Paralegal to join our firms Vancouver location. This position is suited for someone who thrives on working independently in a fast paced environment. As one of the first Paralegals joining our established firm’s newly opened Vancouver location, you will be working closely and collaboratively with the Corporate group on complex transactions.
REQUIREMENTS:
- Minimum of seven 7 years experience as a Corporate Paralegal
- Working knowledge of BC Online
- Membership in good standing with the BCPA
- Flexibility to work outside regular business hours when required and/or necessary

- Thorough knowledge, understanding and ability to apply working knowledge of the relevant corporate statutes
- Microsoft 365 Suite of Applications, CorpLink, Ecore and Adobe Acrobat

Responsibilities:
- Prepare and file notice of notice of articles/articles and corporate documentation relating to simple/complex incorporations, organizations, amendments, continuances to/from other jurisdictions, short and long form amalgamations, dissolutions governed by the Business Corporations Act (British Columbia) and the Canada Business Corporations Act
- Produce routine minute and other record book documentation for all manner of entities (i.e. annual meeting materials, changes in directors/officers/registered office, dividends, share provisions, etc.) and make necessary filings
- Compose and file business name, corporate name, partnership and limited partnership registrations as required by provincial and federal legislation
- Draft and file extra-provincial and territorial registrations, filings, amendments and annual returns on behalf of corporations, partnerships and limited partnerships as required
- Prepare and file annual returns and various corporation forms as required by applicable legislation
- Provide assistance during and/or subsequent to completion of a transaction, as may be required
- Review, analyze and summarize basic/complex minute books and other records and recommend a course of action to rectify any deficiencies and draft necessary documentation
- Conduct searches for corporate profile report and other databases; determine currency of information
