POSITION BACKGROUND AND SUMMARY
Based in Salt Lake City, UT, and founded in 1994, Biomerics (the “Company”) is a leading vertically integrated medical device contract manufacturer focused on micro-plastics, micro-metals, image-guided intervention, and final device assembly for high growth interventional sectors. In July 2023, Biomerics and ONCAP Management Partners (“ONCAP”) announced a transaction in which ONCAP would become a significant minority shareholder in Biomerics. As part of the transaction, Biomerics also merged with the medical business of ONCAP’s portfolio company, Precision Concepts (“Precision Concepts Medical”), which includes Precision Concepts Group of Winston-Salem, North Carolina. This investment was made in partnership with the Company’s founder and CEO Travis Sessions, shareholder Wasatch Equity Partners, and the Marino family (collectively, the “Shareholders”).

The Company is seeking a Corporate Paralegal to lead the effort to centralize administrative tasks and streamline data management, collaborating with outside attorneys to improve processes. The position will manage the entire contract lifecycle, ensuring compliance with company policies, and support the Internal Legal Department with record-keeping and contract reviews. This role requires strong organizational skills, attention to detail, and a solid understanding of legal documentation and business processes.
Responsibilities:
- Maintain daily record keeping ensuring contracts remain current.
- Understand and assist in documenting business processes.
- Ensure compliance with the company’s policies, guidelines, and procedures.
- Effectively manage the full contract lifecycle, overseeing the approval and signature process, executing and filing corresponding documents, archiving and record retention, and documenting contract renewals or terminations.
- Draft various legal documents, including sales contracts, NDAs, and Business Associate Agreements
- Assist with contract review and negotiation.
- Assist with contract review to ensure contract compliance by customers and vendors.
- Draft, file and manage various business entity documents for our corporation entities.
- Create reports, charts, and spreadsheets as requested.
- Conduct initial reviews of various contracts to identify and highlight issues, facilitating faster review by outside attorneys.
- Organize and manage electronic files.
- Provide managerial support for the Executive Staff, including maintaining task lists and updating the governance calendar.
- Help develop and improve standard operating procedures related to internal processes.
- Collaborate with outside attorneys to suggest improvements to templates, processes, and organizational structures.
- Perform a variety of other legally oriented tasks and duties as assigned.
