We are currently looking for a Corporate Paralegal to join us at one of the world’s best fragrance and flavor companies. Responsibilities:

  • Subsidiary management:
  • Manage corporate records;
  • Maintenance of global entity database, including registrations, director/officer information, shareholder data, etc.;
  • Prepare annual shareholder/board meetings and corporate resolutions; and
  • Assist with corporate governance requests from the corporate legal team and IFF subsidiaries, including written consents and resolutions, powers of attorney, minutes, certificates and other documentation.
  • Ensure compliance with IFF’s Global Subsidiary Governance Policy and procedures;
  • Assist with Know Your Customer (KYC) and Anti-Money Laundering (AML) requests; and
  • Provide assistance to other members of the legal team, as needed.

Job Requirements

  • Corporate law or similar
  • Advance level of english
  • Minimum of 3-5 years of relevant experience; multinational company experience preferred;
  • Experience with a subsidiary management database (e.g. Diligent and hCue);
  • Team player in a fast-paced environment;
  • Experience with international transactional and corporate governance matters a plus;
  • Proficient in Microsoft Word, Excel and PowerPoint;
  • Understanding of operational processes within a large organization;
  • Proven attention to detail, proactive and acute understanding of the importance of data accuracy;
  • Able to work independently, multitask and prioritize workload;
  • Exceptional organizational skills;
  • Sound judgment and excellent written and verbal business communication skills; and
  • Commitment to quality work product, ethics, integrity and compliance.
