Description:
At Scale, our mission is to accelerate the development of AI. We are hiring a Corporate Paralegal to support general corporate and securities matters. We are looking for relentlessly curious, deliberately open-minded, and action-oriented who can solve complex problems and drive meaningful outcomes while employing an empathetic interpersonal style that can build bridges across stakeholders and be flexible working on projects as company priorities shift. You will:
- Support various corporate governance and transactional matters, including interfacing with the Board of Directors
- Support in the administration of a complex capitalization table including: transaction processing, securities law compliance analysis/filings, audits/reconciliations, investor and voting analysis, and related tax reporting
- Maintain corporate records and implement policies and processes
- Assist maintaining and managing domestic and international subsidiaries
- Assist with M&A and other strategic transactions
- Lead effective day-to-day operations and workflows related to general corporate governance and global equity administration
- Respond to inquiries from current, former, and potential employees about equity compensation
- Work collaboratively and responsively with a broad range of colleagues and stakeholders, and develop trusted relationships to facilitate a coordinated team approach
- Pitch in across the legal team on projects and transactions when time permits
Qualifications
- ABA approved paralegal certificate
- 6+ years of corporate paralegal experience, including cap table management, voting analysis, securities transactions, and corporate governance related work
- Knowledge of Delaware and California state corporate laws and ability to research and summarize and make filings related to federal and state securities laws and regulations
- A track record of taking initiative and being resourceful to accomplish ambitious goals
- Effective organizational skills and and ability to juggle many competing priorities
- Roll-up your sleeves attitude to tackle projects large and small and a collaborative, low-ego approach to collaborating across the organization
- Strong judgment and high levels of professionalism, discretion, and integrity in all interactions
Ideally you’d have:
- In-house experience at a late stage startup
- Paralegal skills beyond corporate work
