DESCRIPTION

As a Corporate Paralegal, you will provide comprehensive legal support to our in-house legal team. The Corporate Paralegal will assist with various corporate legal matters, including but not limited to, corporate governance, commercial agreements, compliance, contract management, and legal research. The successful candidate will work closely with attorneys and cross-functional teams to ensure legal processes and documentation are accurate and compliant with applicable laws and regulations.

QUALIFICATIONS

Minimum Qualifications

  • BA/BS Degree or paralegal certificate or equivalent practical experience.
  • 4+ years of experience as a corporate paralegal in a law firm or corporate legal department.
  • Strong knowledge of corporate governance and compliance principles.
  • Experience in a fast-paced, high-tech environment.

Preferred Qualifications

  • Paralegal certification.
  • Experience in the healthcare or life sciences industry.
  • Ability to adaptability in an ever-changing environment.
  • Familiarity with intellectual property and regulatory compliance matters.

The US base salary range for this full-time position is $92,000 - $131,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Responsibilities:

  • Meeting Coordination: Organize board and committee meetings, draft pre-read materials, and ensure timely document preparation and distribution.
  • Record Maintenance: Assist in maintaining accurate minute books, director and officer info, governance policies, and compliance records.
  • Administrative Support: Manage transaction documents, contracts, and confidentiality in legal matters, and assistance in forming and managing domestic and international subsidiaries, ensuring proper documentation and adherence to legal requirements.
  • Knowledge Management: Manage corporate knowledge and records, coordinating with finance and regulatory teams on various requests related to filings and examinations, ensuring accuracy and compliance.
  • Support Strategic Transactions: Assist in due diligence, data room management, and preparation of deal documents for smooth transactions.
