Description:

OVERVIEW:

We are seeking a highly organized and experienced Corporate Secretarial Manager to join our dynamic team. The Corporate Secretarial Manager will oversee all corporate secretarial and compliance matters of their clients, including private and public listed companies, and ensuring adherence to statutory requirements and best practices. This role requires meticulous attention to detail, strong communication skills, and the ability to work collaboratively across departments.

REQUIREMENTS:

  • Degree holder or holder of a professional certificate in Chartered Secretary is highly desirable.
  • Minimum 3-5 years’ experience in a corporate secretarial managerial capacity, including as named company secretary, and currently operating in managerial capacity in outsourcing/service provider environment.
  • Strong organizational and time-management skills, with the ability to prioritize tasks and work under pressure.
  • Possess strong verbal and written communication skills.
  • Client service oriented, with excellent interpersonal skills.
  • Be flexible and adaptable in working styles/
  • Ability to prioritize work and meet deadlines.
  • Willing to take on duties outside of job specification.

Responsibilities:

  • Named as Company Secretary.
  • Ensure compliance with statutory and regulatory requirements, including filings with relevant authorities.
  • Organize and prepare agenda, resolutions, and minutes for Board/Board Committee meetings and general meetings.
  • Provide coaching and guidance to junior staff members on corporate secretarial processes and compliance matters.
  • Liaise with external auditors, legal advisors, and regulatory bodies as necessary.
  • Ensure issuance of, monitor and follow up on retainer and ad hoc billings, monitor and follow up on billings.
  • Handle clients’ queries promptly.
  • Conduct customer due diligence and risk assessments.
  • All other corporate secretarial work and related regulatory filings.
