A well-established Legal 500 firm is seeking an experienced and driven Corporate Solicitor to join their reputable Christchurch based office. The business is a leading law firm specialising in a wide range of legal services for corporate clients, including mergers and acquisitions, corporate governance, commercial contracts, and general business law. Job Overview:
They are seeking a talented and driven Corporate Solicitor to join our dynamic and growing corporate team. The successful candidate will be responsible for advising a broad range of clients on corporate matters, including mergers, acquisitions, corporate restructuring, and general company law. This is an exciting opportunity to work with high-profile clients across various sectors while gaining exposure to complex and high-value transactions.

Key Responsibilities:

  • Corporate Transactions:
  • Advising clients on mergers, acquisitions, joint ventures, corporate restructurings, and other corporate transactions.
  • Drafting and negotiating transaction documents, including share purchase agreements, asset purchase agreements, and shareholder agreements.
  • Conducting due diligence on corporate transactions, identifying key risks and opportunities.
  • Corporate Governance:
  • Advising companies on governance matters, including the roles and responsibilities of directors, shareholder rights, and board procedures.
  • Assisting with the implementation and compliance of corporate governance frameworks and codes of practice.
  • Commercial Contracts:
  • Drafting, reviewing, and negotiating a wide range of commercial contracts, including supply agreements, distribution agreements, and confidentiality agreements.
  • Providing strategic advice on commercial contracts and resolving disputes where necessary.
  • Corporate Compliance & Regulation:
  • Providing legal advice on regulatory compliance matters, including corporate taxation, anti-money laundering (AML) laws, and competition law.
  • Assisting clients with corporate filings, including registrations with Companies House, as well as maintaining company records and other statutory obligations.
  • Client Relationship Management:
  • Building and maintaining strong relationships with clients by providing excellent legal advice and demonstrating commercial acumen.
  • Managing and prioritizing client matters efficiently, ensuring high standards of service are maintained.
  • Team Collaboration:
  • Working closely with colleagues within the corporate team and across other practice areas to deliver comprehensive legal services to clients.
  • Mentoring and supporting junior solicitors and trainees.
  • Business Development:
  • Engaging in business development activities, including attending networking events, preparing client proposals, and identifying new business opportunities.
  • Assisting in the preparation of thought leadership content and marketing materials.

Requirements:

  • Qualified Solicitor in England and Wales (or equivalent jurisdiction).
  • Experience in corporate law, ideally with exposure to M&A, joint ventures, corporate governance, and commercial contracts.
  • Strong technical legal skills with the ability to interpret and apply complex legal principles.
  • Excellent communication and negotiation skills, with the ability to build client relationships and manage expectations.
  • Ability to work under pressure and manage multiple projects simultaneously.
  • Strong attention to detail and problem-solving ability.
  • A team player with a proactive, client-focused approach.
  • Experience with corporate litigation and dispute resolution is a plus, but not essential.
