Description:
EDUCATION & EXPERIENCE QUALIFICATIONS
- Juris Doctor degree from an accredited U.S. law school required
- Licensed and in good standing to practice law in the U.S.
- Four (4) or more years of practice in a law firm or corporation representing public and/or private companies with respect to complex international matters
- Law firm experience preferred
REQUIRED KNOWLEDGE, SKILLS OR ABILITIES
- Detailed knowledge of, and competence in advising clients with respect to, corporate transactions.
- Experience in drafting and negotiating definitive agreements and related documents customary in corporate transactions, including international and cross-border transactions, such as franchising, licensing, vendor, supplier and services agreements.
- Experience with trademark law and trademark licensing.
- Experience with general corporate law, corporate governance and subsidiary maintenance.
- Experience analyzing, interpreting, and clearly communicating legal strategies and requirements to/for non-lawyer colleagues.
- In-depth knowledge and experience in commercial legal matters related to a global enterprise with multiple brands, units and locations.
- Ability to lead cross functional projects/teams to impact long-term legal strategies
- Ability to work independently, make decisions, and exercise independent judgment with respect to highly complex projects, contracts, and transactions in a fast-paced environment with tight deadlines.
- Ability to effectively interact and build relationships with a diverse and decentralized employee population.

Responsibilities:
- Lead the negotiation, drafting, execution and closing of projects with respect to a wide variety of agreements, including franchise, license, vendor, supplier and services agreements
- Participate in business, operational and strategic decisions; develop and negotiate contracts and work with leadership on completing transactional objectives; seek process improvements and added efficiencies in the legal shared services organization
- Provide advice and counsel to cross functional teams in support of business and franchisee objectives including developing strategies for handling legal issues and building processes that address risk and allow the business flexibility and freedom to move quickly
- Provide advice on select international activities, including interfacing with finance, accounting, tax, information technology, HR, supply chain and external subject matter experts, as necessary
- Responsible for managing and overseeing outside counsel in assigned international matters within the parameters set by the General Counsel and/or Associate General Counsel
- Ensure that standard forms of Inspire Brands’ legal documents are updated as necessary/desirable to reflect current best practices
- Provide legal support with general corporate/miscellaneous matters as needed (e.g., review of vendor contracts, non-disclosure agreements, corporate governance documents, etc.)
