Description:

Overview:
The Director Assistant General Counsel, Strategic Partnerships role provides legal advice and counsel in the areas of strategic partnerships, acquisitions and joint ventures related to Novant Health Enterprises, a division of Novant Health. This role leads and advises in mergers and acquisitions across the Novant Health footprint and expansion markets, including facilities, ambulatory surgery centers, hospitals and large physician practice affiliations. The ideal candidate has healthcare transactional experience with a special focus on innovative partnership models. This role reports and takes direction from the Vice President, Senior Assistant General Counsel over mergers and acquisitions.

Qualifications:

  • Education: 4 Year / Bachelor’s Degree, required. Juris Doctorate, required.
  • Experience:
  • 5+ years Experience in the Practice of Law, required.
  • 7+ years preferred healthcare transactions experience
  • Licensure/Certification: Admission to the bar of at least one state or the District of Columbia, preferred.
  • Additional Skills (required):
  • Significant healthcare transactional experience, including negotiating and completing hospital acquisitions and divestitures, strategic physician and health care partnerships, creation of ambulatory surgery centers and creation of joint ventures
  • Experience with the Anti-Kickback Statue (AKS), the Stark Law, and other regulations
  • Experience in physician transactions, including physician employment, independent physician arrangements, call director and medical director arrangements
  • Excellent communication skills.
  • Ability to handle unusual, demanding and unrelated tasks and strong organizational skills.
  • Speed to Market: Effectively works in a fast-paced work environment to deliver results
  • Problem Solving: Strong analytical, critical thinking and creative problem-solving skills.

Responsibilities:

  • Analyzes the impact and application of federal and state health care laws and regulations, including reimbursement requirements, Stark, HIPAA, the Civil Monetary Penalties Law, fraud and abuse laws, and Medicare Conditions of Participation in connection with clinical, strategic, and business operations.
  • Provides legal advice regarding relationships and transactions with hospitals, physicians, vendors, managed care companies, government and employers.
  • Prepares, reviews, and supports negotiations of contracts for complex transactions with other providers and payors, incorporating state and federal health care regulatory requirements, as necessary.
  • Supports growth, development of initiatives, and overall performance of strategy. Demonstrates dedication to meeting the expectations and requirements of stakeholders.
  • Advises administration and management regarding corporate, business, and operational issues, including employee relations and personnel management
  • Working with Chief Legal Officer and/or Deputy General Counsel assigns work to and supervises outside counsel’s performance of work.
  • Demonstrates consistent use of sound judgment and objective analytical skills
  • Demonstrates strong interpersonal skills that build effective working relationships
  • Complies with and supports department policies, procedures, and protocols.
  • Reviews and prepares agreements and contracts
  • Works alongside team members to monitor and evolve practices for continuous process improvement.
  • Provides reliable and well-researched advice on all manner of matters
  • Maintains professional competency, according to department policies, procedures, and protocols.
