JOB SUMMARY:

Reporting to the VP, Corporate Development, the Director of M&A will proactively identify and evaluate strategic transactions, support the VP throughout the deal lifecycle, facilitate due diligence. Responsibilities include drafting transaction documentation, creating financial models and analyses, and monitoring M&A project progress and risks. The role involves preparing reports, tracking budgets, supporting post-transaction objectives, and collaborating with finance on purchase price allocation. The Director will also oversee investment portfolio recommendations, assess valuation, and liaise with finance on reporting requirements.

KEY QUALIFICATIONS:

  • CPA, CFA and MBA is an asset
  • Industry Experience. 7+ years of relevant working experience (e.g., investment banking, private equity, corporate development, transaction advisory, corporate finance, etc.)
  • Experience working with small owner/managed businesses as a client/target
  • Expert understanding of financial reporting, financial statements, and business combinations.
  • Excellent analytical capabilities including demonstrated knowledge of valuation techniques and practices.
  • Advanced technical skills as it relates to Microsoft Office applications (Excel, Word, PowerPoint), industry technology (Bloomberg, Factset, CapitalIQ) and applicable software.
  • Outstanding financial modeling skills to develop comprehensive financial models, forecast the effect of transactions on the Company as a whole, and develop business cases to support recommended actions
  • Frequent interactions with Senior Executives, Business Owners, Investment Bankers, Lawyers, Accountants, and other key stakeholders require confidence and refinement. Ability to demonstrate experience leading highly complex, cross-functional, and time-sensitive projects

Responsibilities:

  • Proactively scan, cultivate, and evaluate potential strategic transactions that are aligned to company objectives
  • Support the Vice President on transactions throughout the deal life cycle: letter of intent, purchase agreements, due diligence, bank finance agreements and public debt/equity offering documents
  • Facilitate the due diligence process and coordinate across multiple internal teams
  • Review and assist in the drafting of transaction legal documentation: Letter of Intents (“LOIs”), Term Sheets and Merger Agreements
  • Creating consolidated detailed financial models; statistical analysis and transaction summaries
  • Support the collection, reporting and presentation of multiple data elements to forecast the progress of M&A projects in assessing risk and monitoring the impact of the M&A projectPreparing reports related to active M&A projects and tracking budgets & project deliverables
  • Working with the business unit to provide assistance, in the execution of post transaction objectives
  • Work with finance to support purchase price allocation exercise
  • Oversee, prepare / model portfolio recommendations in the identification of strategic opportunities for equity investments
  • Monitor investment portfolio performance and periodically assess valuation, liaise with Finance on financial reporting requirements
