Title: Director of Legal & Compliance
Reports to: President & CEO
Location: Remote, USA
FLSA Status: Full Time, Exempt
Annual Salary Range: $150,000 - 170,000 USD

JOB OVERVIEW:

At W3C, we understand the importance of operating within the law while carrying out our vision. We are seeking a Director of Legal & Compliance with experience in non-profit organizations, preferably with some anti-trust experience and in a technical standards-setting arena. The Director of Legal & Compliance will play a pivotal role in ensuring W3C operates in full compliance with all applicable laws and regulations throughout the world. This strategic leadership position will own legal and compliance initiatives in collaboration with our CEO and other leadership, serving as our primary advisor on all legal matters, guiding the organization’s policies to reflect legislative changes and statutory compliance, and helping ensure that all our operations comply with applicable government regulations. We will rely on your expertise to help us protect the interests of our organization, and to further our company mission and goals.

REQUIREMENTS & SKILLS:

  • Bachelor of Laws (LLB) or Juris Doctor (JD)
  • MA or BSc in Business Administration will be considered an asset
  • Proven general legal and compliance experience in a non-profit business environment (familiarity with Delaware corporate law preferred)
  • Experience with competition law as it relates to standards bodies (horizontal agreements) is strongly preferred, especially in the UK, EU, and US
  • Experience with technology organizations and / or member organizations preferred
  • Overall broad legal knowledge with an ability to develop legal and compliance strategy and objectives
  • High degree of professional ethics and integrity
  • Excellent judgment and analytical skills
  • First class interpersonal and communication skills
  • Ability to anticipate legal issues or risks and to “see around the corner”
  • Strategic acumen and excellent communication, negotiation, and problem-solving capabilities
  • Excellent leadership and interpersonal skills with a willingness to collaborate, share knowledge, respond quickly to urgent matters and execute proactively
  • Ability to thrive in a fast-paced, dynamic environment
  • Solid understanding of the business environment and the ability to provide high-quality legal advice with a view on finding pragmatic solutions
  • Ability to forecast legal issues and risks
  • Ability to travel internationally on occasion

Responsibilities:

  • Provide legal counsel to the organization’s executives and management on various legal issues affecting the organization.
  • Evaluate and weigh multiple inputs and impacts of any decision or course of action.
  • Ensure that the President and CEO are fully informed regarding compliance with relevant laws and regulations in its operations and business activities.
  • Create and oversee the implementation of effective compliance management strategies and processes.
  • Organize presentations, meetings, training, and compliance seminars to promote better awareness of compliance protocols and external requirements in our industry.
  • Advise on matters related to corporate governance and ensure compliance with applicable laws and regulations.
  • Advise on specific matters that arise in the context of a web standard under discussion.
  • Help develop internal governance policies and manage the impact of external factors.
  • Identify and manage legal risks that the organization may face and implement strategies to mitigate those risks where appropriate.
  • Oversee the execution and ongoing refinement of our Patent Policy.
  • Oversee the drafting, review, and negotiation of contracts and agreements entered into by the organization.
  • Keep up to date with changing legislation and the overall regulatory environment, particularly in relation to the interests of the organization.
  • Create associations of trust and respect with key stakeholders.
  • Work with external parties as needed (external counsel, regulators, board of directors).
  • Deal with complex, significant matters that cut across legal and related
  • Maintain corporate records and other legal documents.
