Description:
We are seeking a dynamic Corporate Manager with strong Alternative Funds experience to join a niche Fund Administrator located in Luxembourg.
The candidate will be responsible for managing corporate secretarial duties and providing support across a variety of entities: alternative investment funds (including private equity, venture capital, infrastructure, real estate and private debt), holding companies, property companies, and other non-regulated structures in Luxembourg. This role requires a deep understanding of Luxembourg corporate law, regulatory requirements (CSSF or other), and best practices in corporate governance.
The ideal candidate will not only develop and grow a Company Secretarial team but will also bring strategic vision on clients and operations for their team, whilst remaining hands-on in the early stages.
Key Responsibilities
Reporting directly to the head of operations, you will be responsible for:
Overseeing and ensure the smooth operation of all corporate secretarial functions, including:
the preparation of board and shareholder meetings
attending board and shareholder meetings
drafting standard and complex minutes and resolutions
Providing expert advice on corporate governance matters and ensure compliance with all relevant laws, regulations, and internal policies
- Managing the incorporation, liquidation, and ongoing maintenance of entities in accordance with Luxembourg law
- Coordinating with internal and external stakeholders, including regulatory bodies, to ensure timely and accurate filings
- Supporting other functions such as Fund Accounting and Transfer Agency teams with legal and regulatory inquiries related to the entities under management
- Coordinating with fund and corporate legal advisers
- Staying abreast of changes in Luxembourg corporate law and regulatory requirements, advising the team on implications and necessary actions
- Leading and mentoring junior corporate secretarial staff, ensuring high-quality service delivery
Skills, Knowledge and Expertise
- University degree in Law or Business Administration, or similar
- 5-7 years’ experience in a management role in Luxembourg. preferably within a fund administration, legal, or professional services firm
- In-depth knowledge of Luxembourg corporate law, particularly regarding alternative investment funds, holding companies, property companies, and other non-regulated structures
- Proven track record of managing corporate governance matters and ensuring compliance with regulatory requirements
- Excellent organizational, communication, and leadership skills
- Great team player, Client-oriented, proactive, and highly committed individual with entrepreneurial mindset
- Fluent in English; proficiency in French or German is a plus
- Strong attention to detail and ability to manage multiple tasks simultaneously
- Proficient in MS Office and familiar with corporate secretarial software
