Management

CRITICAL COMPETENCIES FOR SUCCESS:

  • Qualified lawyer and team player.
  • Broad legal and compliance experience, with a strong working knowledge of competition law and experience in M&A desired
  • Proven general counsel with leadership team experience, preferably in an international organization in-house, with a global outlook. Working within a UK listed company environment would be ideal.
  • Experience in the engineering, automation and/or manufacturing business and/or in the heating, ventilation and cooling sector would be an asset.
  • Good knowledge and experience in Europe, particularly Germany, is a must. Experience and exposure to the US is desirable.
  • Exposure to large, complex customers is desirable.
  • Able to function as a real business partner taking complex problems and providing good advice, sound judgment and solutions to cover legal principles in a pragmatic way.
  • Strong experience of cross-cultural working and influence.
  • Good presentation skills and able to communicate effectively to varied internal and external audiences of different levels of seniority.
  • Ability to work effectively and independently and as a team member.
  • Fluent written and spoken English. Knowledge of other languages, notably German, is an asset.
  • Strong attention to detail.
  • Willingness to travel.

Responsibilities:

ROLE OVERVIEW:

This role is critical in driving the implementation of the Climate Control strategy by serving as a trusted advisor and business partner to senior leadership. As General Counsel, it ensures that companies within the sector manage legal, compliance, and business risks globally, in accordance with laws and company policies. The role involves guiding legal, risk, and commercial affairs, with a focus on strategic M&A, innovation, and compliance, while addressing a broad range of international legal issues. Additionally, the position ensures IMI Group’s FTSE100 requirements are met and promotes best practices across the function.
The successful candidate will have strong intellectual capability, business acumen, and a high level of commitment. They embrace challenges, deliver on promises, and maintain integrity and resilience, even in tough situations.
This role reports directly to the Sector President, with dotted line reporting to IMI’s Chief Legal & Risk Officer and Company Secretary.
Work Environment: Hybrid schedule with 3-days per week on-site at our Eysins office: Rte de Crassier 19, 1262 Eysins, Switzerland

KEY RESPONSIBILITIES:

  • Providing guidance on legal, compliance, commercial and business risks for the Climate Control sector globally.
  • Leading and developing supporting Climate Control legal and compliance function and personnel.
  • Supporting M&A, innovation and sector projects.
  • Providing legal guidance and support on commercial contracts and contracting matters in line with Sector Standard Operating Procedures (“SOPs”) and guidelines.
  • Providing legal guidance and support in relation to IMI’s compliance program which includes coverage of anti-bribery and corruption, export controls and sanctions compliance, competition law and data privacy. Managing day to day compliance activities. Sector focus is competition law compliance.
  • Promoting good practice in terms of contract management processes and intellectual property protection.
  • Identifying opportunities for and conducting training on all areas of legal and compliance policy and ensuring that full and adequate training records are kept.
  • Assisting with the implementation, monitoring and auditing of IMI legal and compliance policies and SOPs in the Climate Control sector.
  • Identifying legal risks or concerns and ensure that significant issues are recognized and addressed.
  • Managing disputes and imminent or pending litigation, arbitration and regulatory matters.
  • Participating in the Group’s Ethics and Compliance Committee when required and carrying out investigations in relation to concerns raised via the IMI Hotline.
  • Reporting on legal and compliance affairs monthly and more frequently as appropriate on specific matters and ensuring strong engagement with the Group on matters with a Group impact.
  • Engaging with other lawyers across the IMI legal and compliance community, ensuring that such persons are well briefed, as appropriate, and that there is a good level of sharing of ideas and team working across the legal and compliance function.
