QUALIFICATIONS
- Extensive experience practicing law, both at a top tier law firm and a technology company.
- Strong substantive experience with SEC reporting (’33 and ’34 Act) and securities laws.
- Excellent communication and presentation skills with a team-oriented approach.
- Exceptional judgment and strategic business acumen.
- Comfortable anticipating legal risk and making high-stakes decisions.
- High level of business ethics and problem-solving capability.
- Track record of maintaining productive relationships with internal and external stakeholders, including executive team, Board, regulators, and strategic partners.
- Strong negotiation and communications skills.
- Over 10 years of prior experience at a top law firm or in-house, including at least 5-years of prior in-house counsel experience.
- Juris Doctor degree from an accredited law school.
- Bar admission in good standing, with a preference for admission in California.

Responsibilities:
WHAT YOU’LL BE DOING?
As our General Counsel / VP Legal, you’ll be at the forefront of guiding Serve through its growth phase, serving as a critical thought partner to the executive team as they contemplate strategic business decisions. This is an exciting opportunity to build and lead an innovative Legal function at a fast-growing high technology company.
RESPONSIBILITIES
- Serve as primary advisor and counsel on all legal matters, including overseeing general corporate, corporate governance, intellectual property, commercial contracts, liability and insurance issues, employment law, and compliance matters.
- Advise on corporate finance and securities law matters, including preparing SEC filings such as Forms 10-K, 10-Q, 8-K and S-8, Proxy Statements, and Section 16 reports.
- Manage relationships with outside counsel.
- Lead contract and other negotiations with outside parties.
- Advocate on Serve’s behalf in legal proceedings.
- Organize and maintain company legal documents.
- Oversee IP and litigation docket.
- Oversee M&A and strategic corporate initiatives.
- Advise the HR team on federal, multi-state, and international employment law.
- Advise management and staff on legal issues related to programmatic initiatives.
- Oversee data privacy and security program, training, and compliance.
- Support the development of training materials, guidance documents, and relevant employee and contractor training.
- Manage the organization’s insurance portfolio and intellectual property portfolio.
