Job Description Summary
Our Group Legal Counsel must be an articulate, initiative-taking, and approachable commercial lawyer. They must be detail-oriented and disciplined, with strong organizational skills. We’re looking for someone with excellent interpersonal skills, who is be comfortable dealing with people at all levels of the organization. The Group Legal Counsel will report to the Group Leader, and lead a growing team of two lawyers and four contracts’ managers. The right candidate will have very strong verbal and written communication skills, the ability to manage multiple tasks concurrently, and be able to prioritize effectively. Experience in public sector contract procurement, software licensing contracts, and team management are assets.
Our Group Legal Counsel does with end-to-end contract work. They draft, manage, negotiate administer, and enforce many types of contracts, including license, maintenance, subscription, procurement contracts, and non-disclosure agreements. They also do the same for tenders and bids, and ensure that resulting agreements and awards reflect the businesses’ intentions. Our Group Legal Counsel is also involved in mergers and acquisitions. They perform diligence and purchase agreement negotiation, and help integrate acquired assets and businesses.
Responsibilities
- Provide accurate and timely advice to executives and business legal teams in a variety of legal topics that cross multiple geographies. Work in with, and with the guidance of, Modaxo’s portfolio legal counsel and other portfolio partners.
- Be pragmatic and impartial. Use judgement and make decisions. Apply effective risk management techniques, and offer proactive, practical advice on legal and strategic business issues.
- Be business focussed.
- Lead and be accountable for a team of lawyers and contract managers. Allocate resources efficiently, manage personnel issues, and take the lead in group legal resource recruitment efforts. Manage contractual escalations, litigation, and relationships with external legal counsel.
- Support mergers and acquisitions activity - perform diligence, negotiate purchase agreements, and support the integration of acquired assets and businesses.
- Review customer and vendor requests for proposals, identify proposal requirements and risks, review terms and conditions for compliance with company policies and procedures, assist proposal development, and get management approval.
- Perform contract review, negotiate and work directly with counterparties.
- Work with management, sales, finance, and service teams to manage and structure contracts.
- Analyze contracts and policies to ensure compliance with law, company policy, government specifications, and business goals.
- Act as the main interface with stakeholders on contractual matters. Take prompt action to resolve contractual problems with the contract execution team.
- Work autonomously. Plan, schedule, and arrange your and your team’s activities and objectives.
- Some travel is required.
Qualifications
- At least 5 years of related experience is required.
- University degree in law is required. Qualified candidates must have been called to the Bar (in Canada, the USA, or the UK, other jurisdictional equivalents may be considered) and be in good standing.
- Judgement and decision-making mindset.
- Strong commercial law skills and experience, including familiarity with software licensing agreements, public procurement, and contract negotiation.
- Experience managing teams and reporting directly to upper management.
