Description:
Convergint is looking for an experienced In-House Counsel focused in Commercial Contracts to be responsible for reviewing, editing, and negotiating complex commercial, services, and construction contracts drafted by our customers consistent with Convergint’s internal contracting requirements. You will work closely with our customers, sales executives, contract managers, legal department colleagues, and other colleagues to manage a large volume of commercial contracts. As an In-House Counsel, you are a part of a dynamic legal team which allows you to grow as Convergint grows.

REQUIREMENTS:
Education:
- J.D degree from an ABA accredited law school.
License:
- Active bar membership in good standing in Illinois
Minimum Experience:
- Minimum 2 years reviewing, revising, negotiating and summarizing various commercial agreements.
Preferred Experience (but not required):
- Familiarity with technology and privacy laws, and construction law concepts.

Responsibilities:
- Contract Negotiation: Review, redline, and professionally negotiate a high volume of commercial contracts including construction contracts, maintenance contracts, managed services agreements, master service agreements, data privacy agreements, software-as-a-service agreements, NDAs, sourcing and professional services agreements, to meet legal, finance, compliance, and regulatory requirements following internal processes and procedures.
- Risk Identification: Review contract terms to identify potential risk and compliance issues which deviate from company contract guidelines and risk tolerance.
- Bids and Requests for Production: Review, revise, negotiate, and draft supporting materials related to bids and contracts.
- Analysis/Advice: Provide legal and compliance analysis and guidance to sales and leadership.
- Government Contracts: Identify issues, revise, negotiate, and draft contracts with federal, state, and local government agencies.
- Internal Collaboration: Collaborate with multiple departments including sales, finance, sales operations, IT, procurement and other cross functional groups on contractual issues and other internal projects.
- Research: Research legal issues using online tools and legal research websites.
