Are you an experienced Company Secretary looking for an exciting opportunity at a FTSE250 listed company? Join Oxford Instruments plc as Interim Company Secretary (12 Month fixed term contract) and play a key role in delivering corporate governance and company secretarial services across the Group. Reporting to the Chief Financial Officer, you will ensure compliance with regulatory obligations and contribute to the success of our business.

REQUIREMENTS:

CGI qualified with significant company secretarial experience, ideally in a listed company environment.
Strong understanding of regulatory and corporate governance frameworks.
Strong knowledge of employee share schemes and executive remuneration matters.
Familiarity with Diligent entities and Board Intelligence functionality.

This role is a hybrid role with the main location being Tubney Woods, Abingdon. However, we can also consider other UK-based offices, including Bristol and High Wycombe. We work from 8:00 am until 4:30 pm Monday to Thursday and finish at 1:00 pm on Fridays, allowing you to start your weekend early.

Responsibilities:

Lead on Board and Committee matters.
Ensure compliance with Listing Rules, Disclosure Guidance and Transparency Rules and Corporate Governance Code.
Deliver the Governance disclosures in the Annual Report (including the Directors’ Remuneration Report).
Work with the Assistant Company Secretary to deliver the Annual General Meeting.
Manage administration of the company’s employee share incentive schemes.
Responsible for subsidiary entities’ governance and compliance.
Assist with ad hoc projects.
