THE OPPORTUNITY
We are now seeking an Interim Head of Company Secretary to to cover a period of maternity leave on a 12 months fixed term contract.
The Interim Head of Company Secretariat will report directly into the Chief Governance Officer and Company Secretary, with the core responsibility of (i) providing company secretarial services to, but not limited to, EirGrid plc, its committees and subsidiaries, contractual joint ventures and internal governance fora; and (ii) drafting, implementing, and advising on all corporate governance policy and procedures within the Group.
Responsibilities:
The Interim Head of Company Secretariat will oversee and manage the following tasks, which will be performed by the Secretariat for, inter alia, the EirGrid plc Board, its committees and subsidiary board meetings, in order to embed good governance, consistency, and best practice throughout the business:
- Scheduling of all governance fora meetings and drafting of meeting agendas;
- Liaising with, and advising, colleagues regarding their agenda items, preparation of Board papers and deadlines for the submission of papers to the relevant Board/Committee;
- Collating Board/Committee meeting packs;
- Drafting and circulating of minutes of meetings in a timely manner to the relevant Board/Committee as required;
- Maintaining a Matters Arising Register and informing those responsible of any actions from meetings;
- Maintaining confidentiality of all proceedings at meetings; and
- Management of EirGrid’s Diligent account.
