This non-exempt employee will assist attorneys in accomplishing clients’ goals by using organizational, analytical and communication skills. In this role, the employee is expected to play a pivotal role in supporting attorneys as they serve clients in business formations, contract matters, as well as the preparation of subscription documents, AML/KYC processes, investor intake and due diligence, securities filings and other business law related issues. As an Investment Management Paralegal, you will play a vital role in supporting our attorneys, working closely with clients, and handling various legal tasks related to investment management matters.

Essential Duties

  • Assist attorneys in support of business formations and contract matters as well as the preparation of subscription documents, AML/KYC processes, investor intake and due diligence, securities filings and other business law related issues.
  • Prepare and handle Form D and state blue sky filings as well as other related securities filings.
  • Assist in the preparation of legal documents such as identifying and gathering information and drafting necessary paperwork on behalf of investors and on behalf of sponsors in the investor intake and due diligence process.
  • Review, organize, and manage various business contracts and agreements, such as partnership agreements, operating agreements, subscription documents, AML/KYC and more.
  • Although attorneys generally research issues of law, the paralegal must be able to use reference materials and perform basic research using a variety of resources.
  • Stay updated on changes in investment management rules and regulations to provide accurate and up-to-date support to attorneys and clients and assist in drafting client alerts.
  • Work closely with paralegals, legal assistants, other attorneys, as required.
  • Accurately track and record time billed on claim-related tasks, meeting monthly goals following the initial training period.

Other Duties

  • Assist attorneys with speeches and articles.
  • Attend CLE and courses to expand knowledge of substantive law.
  • Perform other related duties as needed or assigned.

Reporting Relationship
Reports directly to the Office Administrator and to the assigned attorneys.
Qualifications
Knowledge/Experience:
A bachelor’s degree or 2+ years of experience as a paralegal assisting with business matters of similar experience in the legal services industry and an ABA paralegal certificate. Should be familiar with effective administrative processes and possess the ability to manage a multitude of tasks and deals simultaneously.
Skills:
Must possess strong writing skills, with the ability to communicate in a clear, logical, and grammatically correct manner and the ability to conduct legal research and translate difficult concepts into simple terms. Strong computer skills including comfort with Microsoft Word and other Microsoft Office products. Comfortable interacting and communicating with team member internally, clients and court personnel directly. Must be able to meet deadlines. Excellent organizational skills. Adept to working independently or collaboratively within a team.
Education:
A bachelor’s degree or paralegal certification from an ABA approved school .
Physical Demands:
Must be able to move around the office up to 15% of the time to make copies, fax, file, etc. Remains stationary at least 75% of the time. This position constantly operates, computers and other office productivity machines (e.g., fax machine, copier, printer, etc.). Occasionally required to move documents or files weighing up to 15 lbs. This position requires constant communication and exchange of information with the Firm attorneys, clients, and staff. This position must be able to inspect and observe information on a computer screen at least 80% of the time.
Working Conditions
Hybrid in office (3 days per week). Overtime Required.
