The Position
Barings’ Legal Team is seeking a candidate for our London office to join our Global Private Credit Legal Team. The candidate will work with other lawyers globally to support our highly successful Private Assets business. The successful candidate will provide support to the European and APAC deal teams, provide day-to-day support primarily in relation to middle market leveraged loans throughout Europe and APAC and to our capital solutions, portfolio finance, infrastructure loans and private placement note / bond investment platforms.
The Team’s Mission
The Global Legal mission is to provide legal support and advice with the goal of managing and mitigating legal risk for the Company and acting as a partner to our internal business clients supporting any legal needs that arise on a day-to-day basis.

Primary Responsibilities

  • Provide day-to-day support to European and APAC private credit, capital solutions, portfolio finance, private placement and infrastructure deal teams and portfolio managers on issues related to investments in middle market loans, capital solutions, portfolio investments, infrastructure loans, and private placement notes/bonds. Work will include negotiating term sheets (with or without access to external counsel), advising on key legal and commercial issues, advising on the legal structure of transactions and high-level local law considerations, assisting with executing transactions and instructing and liaising with external counsel.
  • Provide internal legal advice to new and existing Barings investment funds (typically SICAVs-SIFs, RAIFs, and limited partnerships) and managed accounts, including occasionally drafting and negotiating investment management agreements.
  • Provide internal legal advice and work closely with external counsel on matters relating to the Private Credit business such as capital call or fund leverage facilities for the Barings investment funds, or general investor queries.
  • Build relationships with and work alongside teams within the business including Product Management, Distribution, Operations, Compliance and Risk functions and other members of the Global Legal Team, as appropriate.
  • Assist with the identification of general corporate, tax, risk, regulatory, legal and compliance issues and interface with external law firms in order to render appropriate legal advice regarding the same.
  • Manage and maintain relationships with preferred legal advisors.

Qualifications

  • Qualified lawyer with 5+ PQE experience, including recent experience working in leveraged loans.
  • Experience with credit documentation including grids, term sheets and commitment letters, facilities agreements, intercreditor agreements and note purchase agreements.
  • Familiarity with Loan Market Association standard documents required.
  • Familiarity with distressed credits and support for workouts and restructurings a plus
  • Familiarity with structuring and regulatory considerations in Europe, with key jurisdictions including UK, France, Germany, Italy, Benelux and Nordics.
  • Build relationships with, and work alongside, business teams and other members of the Legal Team, as appropriate.
  • Self-starter with a flexible “can-do” mentality and commercial approach.
  • Excellent organizational skills and the ability to manage competing workloads of diverse matters in a timely manner.
  • A team player, with a willingness to collaborate and share know-how amongst colleagues.
  • Strong written and oral communication skills.
  • Ability to work to tight deadlines and prioritize work according to urgency and importance.
  • Willingness to go beyond existing areas of expertise and work in new areas of law relevant to the business.
