Description:
DESCRIPTION
This is a fantastic opportunity for an experienced lawyer with a strong foundation in commercial/contracts law, who is looking for a varied and challenging in-house role, to join a rapidly growing and successful B2B subscription-based business.
You will be a part of and help to shape a small but dedicated legal team, reporting directly to Energy Aspects’ General Counsel but working closely and directly with the different offices, business teams and functions. You will provide legal support in the negotiation, drafting, and review of commercial contracts, as well as advising on various legal matters related to the research and professional services industry.
In this interesting and varied role, your responsibilities will be wide-ranging but with a focus on supporting the sales team in the negotiation of their client contracts. However, as part of this friendly and collegiate team, you will also have the opportunity to be involved in a wide range of other legal matters including compliance, IP strategy, company secretarial/corporate governance, providing internal stakeholder advice on a wide range of legal queries and supporting project work. You will enjoy high levels of autonomy, responsibility, and visibility across the business, as well as be relied on as a trusted advisor by various stakeholders within the business.
REQUIREMENTS
- UK or Commonwealth qualified solicitor with a minimum of 3 years PQE, ideally including in-house or secondment experience.
- Strong commercial/contract law experience but with the attitude and breadth of experience to be able to support the business more widely.
- Enthusiasm for developing a deep understanding of our business and playing a role in supporting its key strategic initiatives.
- Excellent communication and interpersonal skills, with the ability to work effectively in a team and with stakeholders across different functions and regions.
- Strong analytical and problem-solving skills, with the ability to think creatively and provide practical solutions.
- High level of attention to detail, with the ability to manage multiple tasks and priorities effectively.
- Self-starter, dynamic and proactive, who will function independently, engage with clients and other stakeholders to solve issues and drive projects forwards.
- Ensure that the legal function is seen as a high performing and effective area of the business, servicing both internal and external clients efficiently.
Responsibilities:
- Contract review and negotiation: reviewing contracts, including subscription agreements, licence agreements and vendor contracts and negotiating terms to protect Energy Aspects’ interests.
- Compliance: providing advice on Energy Aspects’ compliance with relevant laws and regulations, such as data protection, anti-bribery and anti-money laundering regulations and supporting the implementation of processes to ensure compliance with the relevant laws and regulations.
- Intellectual property: supporting the protection of Energy Aspects’ intellectual property and ensuring that the company does not infringe on the intellectual property rights related to contracts and commitments we have entered.
- Risk management: identifying and mitigating legal risks that could impact Energy Aspects’ operations, such as reputational risks, regulatory risks, and contractual risks.
- M&A support: working as part of an internal deal team to support the assessment, negotiation and post-transaction elements of an acquisition.
- Corporate governance: ensuring that Energy Aspects adheres to the best practices in corporate governance which includes maintaining accurate records, complying with shareholder requirements and applicable rules and regulations.
