Today we are seeking an inside Legal Counsel to join our team to provide expert legal support across all facets of our real estate activities, including investment, asset acquisition, property development, construction, property management, and corporate governance. The ideal candidate will have a strong background in real estate law, with experience in the Canadian market, and will be adept at managing legal risks and ensuring regulatory compliance.
In addition to the duties typically expected of a legal prime, the successful incumbent will also:
- Collaboration: Work closely with various departments, including finance, human resources, development, construction, and property management, and other relevant teams, to provide legal support and ensure project success.
- External Relations: Liaise with external legal counsel, government agencies, and regulatory bodies as needed to support the company’s legal needs.
- Contract Management: Draft, review, and negotiate contracts, including those related to property acquisition, dispositions, development agreements, construction contracts, lease agreements, property management contracts, and other commercial and legal agreements.
- Regulatory Compliance: Ensure compliance with all applicable federal, provincial, and municipal laws and regulations, including zoning laws, environmental regulations, and building codes.
- Due Diligence: Conduct comprehensive legal due diligence for property acquisitions, including title searches, environmental assessments, review of municipal regulations and zoning bylaws, as well as evaluating contractual obligations and identifying potential legal risks.
- Dispute Resolution: Oversee and resolve legal disputes related to real estate transactions, construction projects, and property management activities, and other related matters. This includes handling litigation, arbitration, mediation and other forms of alternative dispute resolution.
- Risk Management: Identify and assess potential legal risks, providing strategic advice to mitigate these risks and developing risk management policies.
- Corporate Governance: Assist with corporate governance matters, including preparing and maintaining corporate records, updating minute books, drafting annual resolutions, incorporating companies, forming and managing limited partnerships and filling annual returns, as well as board resolutions, and shareholder agreements.
QUALIFICATIONS:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in the Canadian bar.
- Minimum of 5 years of experience in real estate law, with a focus on asset acquisition, property development, property management, and corporate law.
- Strong knowledge of Canadian real estate transactions, contract law, and regulatory compliance.
- Excellent negotiation, drafting, and communication skills.
- Ability to work independently and manage multiple projects simultaneously.
- Strong analytical and problem-solving skills.
- High ethical standards and professional integrity.
- Experience in risk management is a plus.

We are an in-office crew 5 days a week. We sometimes work late to make sure we meet our deliverables, so the ability to work flexible and irregular hours is required. However, we do respect your work/life balance (we even manage to squeeze it all into a 4.5-day work week in the summer months).
