SUMMARY

We are seeking an exceptional Junior Commercial/Corporate Lawyer to join the in-house legal team at Peninsula, a leading global marine energy company. Based in London, the successful candidate will manage a diverse and engaging workload, addressing a broad range of legal matters typical of a global marine energy supply business. The role will primarily focus on commercial and corporate issues, finance, regulatory, and compliance matters. You will collaborate closely with various stakeholders across the business, including the management team, traders, credit, operations, tax, and finance departments, located both in London and in our offices worldwide. With a high degree of autonomy, you will be responsible for drafting and negotiating a wide array of commercial and corporate agreements, structuring transactions, providing legal advice on real-time business matters, and mentoring junior members of the legal team. This is a fast-paced and challenging role that requires a combination of top-tier legal expertise and strong commercial insight. The ideal candidate will be an excellent communicator, capable of building strong relationships with key stakeholders while upholding Peninsula’s core values in all aspects of their work.

Responsibilities:

  • Corporate and Regulatory: advising on a broad range of corporate and regulatory matters, with a particular focus on marine energy commodities, including LNG and alternative fuels. This will involve keeping up-to-date with industry regulations and advising the business on how these affect its operations and strategic goals.
  • Group Structuring and Corporate Governance: Advising on group structuring, company incorporation, and the establishment of group licensing arrangements. Ensure Job Title compliance with corporate governance standards, policies, and legal obligations, while managing all aspects of corporate compliance.
  • Business Expansion: Provide legal support and guidance on the expansion of new business lines, particularly in emerging areas of the marine energy sector, such as LNG and alternative fuels. Work closely with the business development teams to assess risks, structure deals, and ensure regulatory compliance in these new ventures.
  • Contract Drafting and Negotiation: Draft, review, and negotiate a wide range of commercial agreements, including non-disclosure agreements (NDAs), parent company guarantees (PCGs), general terms and conditions, strategic partnerships, sale and purchase agreements, and storage agreements. Ensure contracts are structured to mitigate risk while aligning with the company’s strategic objectives.
  • Corporate Transactions: Draft and negotiate key documentation for a variety of corporate transactions, including shareholders’ agreements, heads of terms, facility agreements, security documentation, as well as joint venture (JV) agreements and mergers and acquisitions (M&A) deals. Provide comprehensive legal oversight throughout the lifecycle of JVs and M&A transactions, from initial structuring and due diligence to execution and post-transaction integration. Ensure all corporate transactions are carried out efficiently and in full compliance with relevant legal and regulatory frameworks.
  • External Counsel: Instruct and manage external legal counsel on specialised matters.
  • Team Development: Support and mentor junior members of the legal team, providing training and guidance on legal matters. Foster a collaborative environment within the team, encouraging continuous learning and professional development.

You will need to combine strong technical legal skills with practical business judgment to navigate the legal challenges that arise in this dynamic and evolving sector.
