The role involves providing legal advice, guidance and support to the MSS business line of HSBC across MENAT, which includes the Securities Services, Global Markets and Markets Treasury business teams and its supporting functions, such as Markets Operations, Client Operations, Risk, Tax, Finance, Company Secretary and the offshore document negotiation team). The role is based in our Dubai office.
EXPERIENCE & QUALIFICATIONS
- You must have a graduate degree from a reputable university and be qualified as a solicitor in the UK or another common law jurisdiction.
- Fluent English (written and spoken).
- Have at least at least 5 years’ experience working in a leading international law firm and/or reputable international bank.
- Strong working knowledge of Markets and Treasury products, including ISDA, CSA, GMRA, GMSLA, LMA, Islamic finance (FX, derivatives, repo and money markets), EMTN offering and programme documents, rates and fixed income term sheets, pricing supplements, electronic trading agreements, NDAs, guarantees, legal opinions, MIFID II terms of business, and corporate governance documents (including shareholder and board resolutions).
- Working knowledge of corporate law, taking security, netting, set-off and collateral arrangements.
- Familiarity with regulatory capital requirements faced by a bank.
- Knowledge of basic regulatory, tax and operational issues affecting banks generally.
- Excellent technical, analytical, communication (written and verbal) and personal skills.
- A strong team player.
- Ability to prioritise and meet deadlines under pressure, and a willingness to work anti-social hours when required.
- Ability to apply your legal skills across a range of financial products.
- Strongly self-motivated person, who is equally capable working independently or as part of a team.
- Genuine interest in working and living in Dubai.

Responsibilities:
KEY RESPONSIBILITIES
- Advising on OTC derivatives, FX, loan hedging, repos, stock lending, margin loans, repack transactions, Islamic finance (FX, derivatives, repo and money markets), EMTN updates, vanilla and structured note issuances, ESG KPI-linked repos and derivatives, and regulatory capital issuances (AT1 and Tier 2).
- Preparing/ negotiating/ reviewing a wide range of templates and transaction documents including ISDA, CSA, GMRA, GMSLA, LMA, security documentation, TMA, DFT Terms confirmations for FX, PRS and CCS, collateralised commodity Murabaha, agency agreements, offering memorandums, programme documents and pricing supplements, rates and fixed income term sheets, electronic trading agreements, NDAs, guarantees, legal opinions, MIFID II terms of business, and shareholder and board resolutions.
- Preparing and presenting legal submissions to the bank’s global netting committee on the enforceability of netting, set-off and collateral in MENAT under conventional and Islamic products
- Providing legal support and advice on regulatory issues, such as EMIR/ margin rules, financial collateral regulations, IBOR demise, product governance around the manufacture and distribution of structured products and CSDR.
- Supporting our custody business.
- Advising on the roll out of new products across Global Markets and Markets Treasury in MENAT.
- Representing the bank at industry association meetings, such as ISDA, GMRA and ISDA/IIFM.
- Provide counsel and legal support on a variety of legal matters, or in a specialist area, including matters that may be complex or novel.
- Be a trusted adviser to the MSS business by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner to the MSS department.
- Participate effectively as part of the Dubai Legal team.
- The role requires an understanding of the structure of the HSBC Group and its culture and the ability to handle increasingly complex legal issues, often under pressure and to tight deadlines.
