Description:
POSITION SUMMARY
Based in Ohio or Toronto, Ontario, the Legal Counsel, Connection Technologies will be expected to provide counsel on a wide variety of commercial and strategic priorities for an international business. These responsibilities include:
- Provide prompt and effective legal and commercial advice, including negotiating support, through all phases of the manufacturing and contracting cycle, including supply chain and commercial sales
- Provide legal advice and support on commercial contracts required by internal business support groups, touching on areas of law including but not limited to Human Resources, HSE, Technology and Innovation, Regulatory, Real Estate and Finance
- Identify risk and liability issues related to various commercial and construction matters and provide advice on risk mitigation strategies
- Provide legal advice and support for the resolution of commercial disputes and management of litigation, including oversight of external counsel
- Liaise with internal business units for delivery of commercially relevant legal advice
- Develop and implement business-oriented legal strategies to deal with client concerns
- Assist in drafting and revising contract templates, policies and procedures
- Support M&A activities
- Support Corporate and Compliance initiatives as needed and as directed by the General Counsel and by the Chief Compliance Officer
REQUIREMENTS:
- Law Degree and called to the bar in a U.S. or Canadian Jurisdiction
- 4 - 6 years legal experience
- Experience in commercial contract drafting and negotiation
- M & A experience
- Litigation management experience
- Strong planning, organizational, analytical and strategy skills
- Strong negotiation skills
- Team player and self-motivated, with strong people skills and a customer driven personality
- Ability to multi-task in the areas of legal issues, technical expertise, operations, and commercial principles
- Ability to interface with all levels of management, staff, clients and external business contacts
- Ability to work independently in fast paced environment and juggle competing needs of multiple dotted line relationships
- Excellent oral and written communication skills.
Responsibilities:
DUTIES
- Legal Partner for Connection Technologies Division: Serve as legal advisor for the Division.
- Functional Support: Provide support to various divisional/corporate service functions such as Human Resources, Operations, HSE, Regulatory, Real Estate and Finance.
- Commercial and Operational Support: Advise on commercial arrangements and draft related transactional documentation. Support the business in effectively and efficiently managing operational changes.
- International Business Support: Support the Division in various commercial initiatives internationally. Advise on best practices for operating in a compliance-focused manner within the international arena.
- Legal and Regulatory Compliance: Review and advise the business on changes to the regulatory environments impacting the business.
- Litigation: Manage and oversee the work of external counsel on various litigation files, including by acting as a liaison between external counsel and internal employees.
- M&A Support: Provide M&A support as required to help the Connection Technologies Division achieve its growth targets.
- Corporate Support: Provide occasional support on critical initiatives for the Corporate Group
