Job Summary:
Modaxo Traffic Management is looking for a business savvy and well-rounded attorney to join our legal department. Modaxo Traffic Management includes our Elovate and Trellint Business Units. As part of the legal team, you will work closely with our internal and external stakeholders. This role will report directly to the Group Legal Counsel and will sit within a growing legal team made up of a lawyer and contract manager. The right candidate for this position will have very strong verbal and written communications skills as well as the ability to manage multiple tasks concurrently. Experience in public sector contract procurement, software licensing contracts, international contracts, and legal team management are assets.
This role is well suited for those with a business-focused mindset who thrive in collaborative cross-functional team settings. This role entails working closely with sales, finance and operations teams to support business on day-to-day legal matters.
Job Description:

Duties/Responsibilities:

  • Provide accurate and timely counsel to key business stakeholders in a variety of legal topics that cross multiple geographies. Work in coordination with, and in guidance of Modaxo’s Traffic Management’s group legal counsel, and other business team partners.
  • Be pragmatic and impartial. Apply effective risk management techniques, and offer proactive, practical advice on legal and strategic business issues.
  • Review customer and vendor requests for proposals, identify proposal requirements, review terms and conditions for acceptability and compliance with company policies and procedures, assist in proposal development as required, and participate in securing required management approval for submittal of proposals to customers and vendors.
  • Participate in proposal reviews, negotiations, and approvals. Brief management on Terms and Conditions, risks, and strategic considerations.
  • Perform contract/subcontract review, negotiate and interface directly with customer/vendor contracting personnel.
  • Work with management, sales, finance, and service teams to manage and structure contracts.
  • Analyze contracts and policies to ensure compliance with law, company policy, government specifications, and business goals.
  • Assure the timely communication of legal and contract information with management and other stakeholders, and maintain complete and accurate contract files.
  • This role will assist with the integration of acquired assets and businesses. This will include the development of processes, procedures, training and education of business standards.
  • Conduct research and analysis on legal and contractual matters to ensure compliance with applicable laws, regulations, and company policies.
  • Assist in identifying opportunities for process improvements in the legal team and contribute to the implementation of best practices.
  • Work autonomously. Plan, schedule, and arrange your activities and objectives in a fast moving and often shifting work environment.
  • Some travel is required. Candidate must be able to travel.

Education and Experience:

  • University degree in law is required. Qualified candidates must have been called to the Bar (in Canada, the USA, or the UK, other jurisdictional equivalents may be considered) and be in good standing.
  • 5+ years of related experience.
  • Experience working with public agencies a plus.
  • Judgement and decision-making mindset.
  • Strong commercial law skills and experience, including familiarity with software licensing agreements, public procurement, and contract negotiation.
  • Experience with working in a team and managing upwards.
  • Previous experience at a technology company, with IT contracts or hardware supply chain a plus.
