KNOWLEDGE & EXPERIENCE

  • Qualified solicitor ideally with a minimum of 4yrs PQE and holds a current practicing certificate
  • Experience in Project Finance (including drafting and reviewing underlying project documentation) and one or more of the following areas: cash flow lending, acquisition financing, structured finance and leveraged lending
  • Ability to demonstrate a good understanding of facility documentation
  • Ability to demonstrate exposure to a broad range of deal structures
  • Strong private practice training

Responsibilities:

ROLE SUMMARY

Assisting the Energy team and the Private Credit team with structuring, drafting, negotiation and completion of deals. Also assisting with the management of the existing loan books including but not limited to drafting amendments, waivers and reservation of rights.

KEY RESPONSIBILITIES

  • Providing legal advice to the Energy team on structuring deals, portfolio monitoring and reviewing direct agreements. You will also support commercial and contractual negotiations with the team, including drafting and reviewing power purchase agreements/corporate power purchase agreements, engineering, procurement and construction agreements, and operations and maintenance agreements.
  • Providing legal support to the Private Credit team in relation to a variety of deals including cash flow lending, acquisition finance, leveraged finance, wholesale finance and structured finance.
  • Drafting and negotiating a full range of finance documents including facility agreements, intercreditor agreements and security documentation.
  • Reviewing and advising on ancillary legal documentation, including sale and purchase agreements, hold harmless letters and non-disclosure agreements.
  • Managing legal risks on transactions and advising on legal and commercial risks and solutions at the structuring/term sheet stage
  • Attending to post-closing matters such as the registration of any relevant security at Companies House
