DESIRED QUALIFICATIONS AND EXPERIENCES
- LL.B. or J.D. degree.
- Good standing with the Law Society of Ontario.
- At least 3-5 years’ experience drafting and negotiating transactional documents in the software industry, license agreements, Software as a Service and Cloud agreements, commercial agreements, master services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, terms of use, letters of intent, and MOUs.
- Experience working with customers located in the United States.
- Ability to work with internal stakeholders at all levels to achieve a common goal while taking into consideration both legal and business issues and risks.
- Experience working in an in-house environment, preferably in the software industry.
- Ability to comprehend and investigate vague problems, propose innovative solutions, and execute them efficiently.
- Experience working with government bodies and public safety agencies.
- Efficient, effective, well organized, and able to prioritize and manage multiple projects.
Responsibilities:
THE ROLE
We are seeking an additional Legal Counsel in our Ottawa, Ontario office to cover an 18-month Maternity Leave to join our growing company. There is a potential that this position could be extended or made permanent.
KEY RESPONSIBILITIES
- Negotiate and draft commercial agreements, such as master software and services agreement, partnership and vendor agreements, NDAs, and terms of use;
- Review and help with responding to requests for proposal (“RFP”);
- Provide support to management and other departmental groups in order to develop legal strategies and solutions;
- Help identify legal and other risks regarding different company initiatives;
- Research and advise on a variety of areas of law including, intellectual property, labour and employment, compliance, corporate governance
- Liaise with external counsel as necessary.
- Provide assistance with other legal department/company projects from time to time.
